compatible with the objectives of this Agreement and with due consideration of the needs of <br />Principal. If requested by Principal, any upgrades or enhancements to the Software or additional <br />functionalities that may work in conjunction with the Software and any additional Hardware <br />beyond that described in Exhibit 1 attached hereto, shall be provided to Principal at <br />Ticketmaster's then current rates. The cost of all telephone line connections between the central <br />computer facility and the Facility, and all monthly telephone line costs with r. espect to the <br />operation of the TM System between the Facility and the central computer facility, shall be borne <br />solely by Ticketmaster. <br /> <br /> (c) Central Computer Facili.ty: Ticketmaster shall, at its sole expense, <br />maintain one or more central computer facility(les) at such location(s) as it shall deem necessary <br />for the operation of the TM System. At least one of the central computer facilities will be in <br />operation 16 hours a day during each and every day of the year, and will be adequately staffed to <br />perform all ongoing licensed user assistance, maintenance and repair services required to be <br />performed by Ticketmaster under this Agreement. <br /> <br /> (d) Telephone Sales: Ticketmaster shall provide telephone Ticket sales <br />services on behalf of Principal with respect to Attractions and, in that regard, shall receive <br />telephone calls for Ticket sales between the hours of 9:00 a.m: and 9:00 p.m. EST. time Monday <br />through Friday and between the hours of 9:00 a.m. and 7:00 p.m. EST. time on Saturday and <br />Sunday, except on Christmas Day, and except for shortened hours on certain other holidays. <br />Such telephone service will be adequately staffed to perform ongoing licensed user assistance <br />with respect to Ticket sales. <br /> <br /> (e) Internet Sales: Following the execution of this Agreement, Ticketmaster <br />shall proceed with due diligence to create pages within the applicable version of the TM.com <br />Website to present information with respect to Tickets for Attractions and to facilitate Internet <br />Sales. Such pages shall be designed in accordance with the look and feel of the TM.com <br />Website, as such design may change from time to time. Ticketmaster shall operate one or more <br />versions of the TM.com Website or a successor website on the World Wide Web or any <br />successor thereto 365 days a year, excepting such reasonable down time as may be necessary or <br />appropriate for website maintenance and updating for the purpose of, among other things, sales <br />of Tickets to Attractions. <br /> <br /> (f) Maintenance and Repair: Ticketmaster shall promptly provide ordinary <br />and routine maintenance and repair of the TM System at the Facility at no additional cost to <br />Principal, provided that such maintenance or repair is not necessitated by the negligence of <br />Principal, its employees, agents or representatives. Ticketmaster represents and warrants that <br />adequate 'service and repair personnel on duty at the central computer facility will be available to <br />meet the reasonably anticipated service needs of Principal from time to time. In the event of any <br />breakdown or malfunction in the operation of the Hardware, or difficulties encountered in <br />connection with access to the Software, Principal agrees to promptly notify Ticketmaster of any <br />such breakdown, malfunction or difficulty to assist Ticketmaster in performing its obligations . <br />hereunder. In the event of any emergency, Ticketmaster further agrees to respond to such <br />emergency as quickly as possible to provide Principal with repair services. <br /> <br /> (g) Supplies: Nondurable operational supplies which are used at the Facility <br />in connection with the operation of the TM System, including, without limitation, line printer <br /> <br />C:\WINDOWS~Desktop\Cabarms Arena LUA Final 081702.doc <br /> <br /> <br />
