(9) DEFAULT If BLrYER breaches any provision of this Agreement, including without limitation its Payment obligations under Paragraph 3, BUYER shall be in default hereunder,' and all unpaid amounts shall, at SELLER's option become immediately due and payable. Upon BUYER's default, SELLER shall have all the rights and remedies of a secured party under the Uniform Commercial Code, and any other applicable laws, including the right to any delinquent payments for which BUYER agrees to remain fully liable. The SELLER shall also be entitled to reasonable attorney's fees, plus interest on any unpaid balance at maximum legal rates. (10) GOVERNING LAW This Sales Agreement and Securi~ Agreement shall be interpreted under and governed by the laws of the State of North Carolina.
