13.1. No Assignment. Neither party may as- sign this Agreement without the prior written consent of the other party, which consent will not be unrea- sonably withheld or delayed. 13.2. N0 Modification. No modification or change to this Agreement shall be binding upon any party unless contained in a writing signed by the other party. No course of dealing, course of perform- ance, or trade usage, and no parol evidence of any nature, shall be used to supplement or modify such agreement and understanding. 13.3. N0 Waiver. No waiver or course of dealing between the parties shall extend to, or con- stitute a waiver of, any subsequent or other Defaults or impair any right consequent thereon. No failure or delay on the part of any party in exercising any right, power, or privilege hereunder and no course of deal- ing between the parties shall operate as a waiver of any Default or any such right, power, or privilege. No waiver to this Agreement shall be binding unless contained in a writing signed by the waiving party. 13.4. Effectiveness; Severability. This Agreement shall be deemed accepted by Compass in the State of North Carolina at the address set forth below. Any provisions of this Agreement found upon judicial interpretation or construction to be prohibited by law shall be ineffective to the extent of such pro- hibition, without invalidating the remaining provi- sions hereof. All words used shall be understood and construed to be of such number and gender as the cir- cumstances may require. The headings in this Agreement have been included for reference pur- PmOSeS only and shall not determine the meaning or terpretation of this Agreement. 13.5. Signatures. Agreement to and acceptance of this Agreement may be made and evidenced by facsimile signature. 13.6. Notices. All notices to be given under this Agreement shall be in writing and shall be served either personally, by facsimile, by deposit with an overnight courier with charges prepaid, or by deposit in the United States mail, first-class postage prepaid by registered or certified mail, addressed to the par- ties at the address or facsimile number stated below or at any other address as designated by one party upon notice to the other party. Any such notices shall be deemed to have been given (a) upon delivery in the case of personal delivery, (b) upon the first busi- ness day following facsimile receipt, (c) one business day after deposit with an overnight courier, or (d) three business days after deposit in the United States mail.
