SERVICE AGREEMENT <br /> <br />record basis and total compensation cannot be determined until all materials are <br />delivered and approved. <br /> <br />3.2, <br /> <br />3.3. <br /> <br />Contractor shall submit an itemized invoice to County according to Attachment B. <br />County agrees to process payment promptly in accordance with Attachment B. <br /> <br />County agrees to accept and pay Contractor for services delivered and invoiced <br />to County on an incremental basis. <br /> <br />WARRANTY <br />4.1. COntractor.warrants that at a minimum, ninety-eight percent (98%) of the records <br /> provided under this Agreement; meet the specifications described in Attachment <br /> A and shall be free from defects in material and workmanshiP. This warranty <br /> shall be for a period of ninety-day (90), commencing upon Contractors final <br /> delivery of images to County. This warranty period shall survive the termination <br /> of this Agreement. <br /> <br />4~2. In the event any such defects shall appear wi'thin such period, Contractor shall, at <br /> the County's Choice, either: <br /> <br />4.2.1. Refund the prorated amount of compensation earned from such defective <br /> items, or <br /> <br />4.2.2. Replace or repair defective items. Such replacement or repair.shall be a <br /> Contractor's sole expense, including all shipping costs. <br /> <br />4.2.3. Identify uncontrollable events that prohibited 'Contractor from Collecting an <br /> record that meets the specifications in Attachment A. Weather, in and of <br /> itself, shall not be identified as an uncontrollable event. <br /> <br />4.3, <br /> <br />County and Contractor agree that Contractor is reliant on the accuracy of <br />information provide by County to Contractor and subject to uncontrollable and <br />natural events such as; weather, foliage, the condition of private properties at the <br />time of imaging, and public accessibility to properties in the data collection <br />process. As such, County .agrees to incorporate such events into its reasonable <br />judgment in determining the defective nature of any single image. <br /> <br />TERM <br />5.1. The term of this Agreement is for Twenty-Six weeks, effective as of the date first <br /> above written. <br /> <br />6. TERMINATION. OF AGREEMENT <br /> 6.1. Either party upon ninety days' (90) written notice to the other party may terminate <br /> this Agreement, without cause. This termination notice period shall be beginning <br /> upon receipt of the notice of termination. Such a termination does not bar either <br /> party from pursuing a claim for damages for breach of this Agreement. <br /> <br /> MVSI/Cabarrus County_NC Contract/9/2~/2002 <br /> <br /> <br />
