EXHIBIT A <br />OFFER TO PURCHASE A_ND CONTRACT <br />CABARRUS COUNTY--BUYER <br /> JAM_ES E. PATTERSON--SELLER <br /> <br /> This Exhibit A sets forth additional terms and conditions to the Offer to Purchase <br />and Contract between the above referenced parties. To the extent the terms of the Offer <br />to Purchase and this Exhibit shall be in conflict the terms of this Exhibit shall control. <br /> <br />Buyer shall pay to seller the sum of $20,000.00 per acre for all of Seller's land <br />identified as 28 acres, more or less, south of but not adjoining Highway 73, <br />Cabarrus County, North Carolina, PIN # 4681-97-7698. The exact acreage <br />being purchased shall be determined by a professional land surveyor at the <br />Buyer's expense. The final purchase price shall be determined by multiplying <br />the acreage as determined by the survey by $20,000.00. <br /> <br />Buyer shall deposit the sum of $10,000100 with Hartsell & Williams, P.A. as <br />earnest money to be applied towards the purchase price at closing. The <br />remaining purchase price shall be paid at closing by attorneys trust account <br />check. <br /> <br />o <br /> <br />The Buyer's obligation to purchase under this Offer to Purchase and Contract <br />is conditioned upon the Buyer being able to acquire a right of way of no less <br />than forty-five (45) feet in width over the property of Teresa Eudy for the <br />purposes of ingress, egress and regress to and from Highway 73, and for the <br />location of all necessary utilities. <br /> <br />° <br /> <br />This contract is being executed by the agent for Cabarrus County, a body <br />politic, and shall not be binding upon the Buyer until such time as the contract <br />is approved and adopted in open session by the Board of County <br />Commissioners for Cabarrus County. <br /> <br />This the __ day of December, 2002. <br /> <br />Buyer: Seller: <br />CABARRUS COUNTY <br /> <br />By: <br />Name: <br />Title: <br /> <br />James E.
