Revenue Code of 1986, as amended and the Regulations promulgated thereunder, <br />for fee title in the Premises which is the subject of this Agreement. Purchaser <br />expressly reserves the right to assign its rights, but not its 6bligations, hereunder <br />to a Qualified Intetmediary as provided in IRC Reg. 1.1031 (k)-I (g)(4) at any <br />time on or before the Closing Date. Seller shall cooperate with Purchaser (at no <br />cost to Seller) in effectuating any such exchange. <br /> <br />17. <br /> <br />This Agreement contains the entire agreement between Seller and Purchaser and <br />nothing is binding on either of them which is not contained in this agreement or <br />permitted under the law to which Seller is subject. This Agreement may be <br />executed by the parties hereto in counterparts and by facsimile transmission, <br />each of which shall be deemed to constitute an original and all of which shall <br />constitute one and the same instrument. <br /> <br />18. <br /> <br />If this Contract is not accepted by Seller and one fully executed counterpart <br />delivered to Purchaser within ten (10) business days from the date of execution of <br />this Contract by Purchaser, the offer' to purchase contained herein shall be <br />automatically revoked and terminated. <br /> <br />REMAINDER OF PAGE INTENTIONALLY LEFT BLANK <br /> <br /> <br />
