the date on which the Mills opens to the public at least 1,000,000 square feet of GLA in the Project <br /> <br />and provides public notice of the "Grand Opening" date). In the event that Mills fails to deliver such <br /> <br />notice witt'dn said 12-month period, it shall be deemed that the Commencement Date is the first day <br /> <br />of the first calendar [fiscal] quarter after expiration of said 12-month period. <br /> <br />SECTION 3: Sales Tax Reporling (Incentive Grant Program Requirement. <br /> <br />(a) Tenant Reporting. Mills shall endeavor in good faith and use its reasonable efforts <br /> <br />to cause its leases for the Project to provide for substantially the following: <br /> <br /> Section__ Incentive Grant Programs. Landlord has <br />determined that financial assistance from the City of Concord, <br />County of Cabarrus and/or the State of North Carolina in the form of <br />a Commercial/Retail Development Incentive Grant Program ("Grant <br />Program") will better enable Landlord to develop the Shopping <br />Center in a manner beneficial to both Landlord and Tenant. <br />Therefore, in order to provide Landlord with the sales tax information <br />from the State of North Carolina comptroller or such other office as <br />maintains sales tax information ("Comptroller") pertaining to <br />Tenant's sales at the Leased Premises, Tenant agrees to provide <br />Landlord with certified copies of all sales tax returns filed with the <br />Comptroller for Tenant's retail operations at the Leased Premises <br />during the Term of this Lease. In addition thereto, Tenant shall <br />provide Landlord with a power of attorney letter addressed to, and in <br />a form satisfactory to, the Comptroller author/zing the Comptroller <br />to release to Landlord all sales tax information for Tenant's retail <br />operations at the Leased Premises during the Tem~ of this Lease. <br />Such letter shall be in the form attached hereto and made a part hereof <br />as Exhibit 1 [Exhibit 7 hereto] attached, or such other or additional <br />forms as required from time to time by the Comptroller in order to <br />release such information to Landlord. Landlord agrees to use its <br />reasonable efforts to maintain the confidentiality of any proprietary <br />information received by Landlord pursuant to this Section. <br /> <br />{OR IN THE ALTERNATIVE] <br /> <br /> In order to facilitate the development of the Project and the <br />Premises, Mills and the City of Concord and the County of Cabarrus <br />have entered into a Commercial/Retail Development Incentive Grant <br /> <br /> <br />
