shall have the authority to enter into agreements of any kind on behalf of the other party <br />in any manner. <br /> <br />SECTION 16 <br /> <br />CONTINUED ABILITY TO PERFORM OBLIGATIONS <br /> <br /> 16.1. Continuin,q Obli.qations. The parties hereto represent and warrant that they <br />have full power and authority to undertake the obligations set forth in this Agreement and <br />that they have not entered into any other agreements nor will they enter into any other <br />agreements that would render them incapable of satisfactorily performing their respective <br />obligations hereunder or that would place them in position of conflict of interest or be <br />inconsistent or in conflict with their respective obligations hereunder. <br /> <br />SECTION 17 <br /> <br />TERM OF AGREEMENT <br /> <br /> 17.1. Term. The term of this Agreement shall commence on the effective date <br />hereof and shall continue until the Source Code shall be transferred to Licensee pursuant <br />to the terms hereof, or, if such transfer shall not have so occurred, the Agreement shall <br />terminate and the Source Code shall be returned to Licensor upon the termination of the <br />software license contained in the License Agreement. In the event this Escrow Agreement <br />should terminate for any reason prior to the termination of the License Agreement, Escrow <br />Agent shall immediately notify both Licensee and Licensor in writing. Further, in the event <br />of such termination, for so long as the Licensed Programs are in use by Licensee, <br />Licensee and Licensor shall within ten (10) business days of such termination, enter into <br />a new source code escrow agreement on similar terms with a new escrow agent <br />acceptable to both Licensee and Licensor. The requirements of this paragraph shall <br />survive termination of this Agreement. <br /> <br />SECTION 18 <br /> <br />MISCELLANEOUS <br /> <br /> 18.1. Compliance with Laws. The parties hereto agree that they shall comply with <br />all applicable laws and regulations of governmental bodies or agencies in their respective <br />performance of obligations under this Agreement. <br /> <br /> <br />
