STATE OF NORTH CAROLINA COUNTY OF CABARRUS AGREEMENT THIS AGREEMENT ("Agreement") is made and entered into as of the day of May, 1999, by and between VfINECOFF VOLUNTEER FIRE DEPARTMENT, INC. a North Carolina non-profit corporation located in Cabarrus County (hereinafter "Winecoff"); and CITY OF KANNAPOLIS, a North Carolina municipal corporation, located in Kannapolis, North Carolina (hereinafter "City"). WITNESSETH: WHEREAS, Winecoff is a non-profit corporation organized pursuant to the General Statutes of North Carolina with its principal objective of providing fire protection to the residents of the Winecoff Fire District and the County of Cabarms; and WHEREAS, City is a municipal corporation which provides fire protection services to its residents and residents of Cabarrus and Rowan Counties; and WHEREAS, in the exercise of its municipal authority City has annexed into its fire protection jurisdiction, all or substantially all of the Winecoif Fire District effective June 30, 1999; and WHEREAS, it is the desire of City and Winecoff that the City shall provide fire protection services to the residents of the Winecoff Fire District who will be annexed into the City; and WHEREAS, it is the desire of the City and Winecoff that the City acquire certain assets and assume certain liabilities of Winecoff deemed essential to the purposes set forth herein. NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of which is hereby acknowledged and upon the mutual promises and premises contained herein, the parties agree as follows: ARTICLE I SALE AND PURCHASE 1.1 Itemized Assets. Subject to the terms and conditions herein, Winecoff hereby sells, assigns, transfers and delivers to City, and City hereby purchases and acquires from Winecoff, as of the Closing Date (as hereinafter defined), the following assets of Winecoff (collectively, the "Assets"):
