ARTICLE VI: GOVERNING LAW <br /> <br />6.1 <br /> <br />Governing Law: This Contract will be governed by and construed in <br />accordance with the laws of the State of North Carolina. <br /> <br />ARTICLE VII: AMENDMENTS <br /> <br />7.1 <br /> <br />Contract Amendment: No amendment to this Contract shall be valid or <br />enforceable unless in writing and executed by duly authorized representative of <br />both parties with the same degree of formality followed by the parties in <br />executing and entering into this Contract. Should such amendments require CFM <br />to expend additional funds, materials or man-hours, CFM will provide the details <br />of such added costs and Client will pay any mutually-agreed upon increased costs <br />to CFM. Both parties shall negotiate on such matters in good faith. Likewise, <br />any decrease in cost will be similarly negotiated. <br /> <br />ARTICLE VIII: TERMS AND TERMINATION OF AGREEMENT <br /> <br />8.1 <br /> <br />Contract Term: This Agreement will become effective on September ,1999 <br />and shall run through September ,2000 (the "Initial Period"). This agreement <br />will be automatically renewed on a year to year basis thereafter by either party <br />unless written notice of such intent not to renew is given not later than sixty (60) <br />days prior to end of the Contract period. Either party may terminate this <br />Agreement, with or without cause, at any time a~er a sixty (60) day written <br />notice. <br /> <br />ARTICLE IX: INSURANCE COVERAGE <br /> <br />9.1 <br /> <br />Worker's compensation and professional liability insurance will be provided by <br />CFM. Worker's Compensation Statutory Limits and $1,000,000 Employee <br />Liability. Liability insurance policy limits shall be at least $5,000,000 per <br />occurrence and in the aggregate annually. CFM shall furnish Client satisfactory <br />proof of such insurance. Client shall be immediately informed of any change in <br />policy coverage. <br /> <br /> <br />
