Complex is facilitated by receiving the authorization of all land owners for the commencement of construction of the same and that the transfer of the land is effectuated according to the timetable set forth herein. II. Te~,,, of A~reement This agreement shall commence upon the appropriate ratification and execution of this document by the Parties and their governing boards, and shall terminate five (5) years from the date thereof or upon the filing with the Cabarrus County Register of Deeds a notice of satisfaction relieving the Youth Association of indebtedness due under the Deed of Trust upon the Association Property dated and filed with the Cabarrus County Register of Deeds on at . After said time period or upon filing of the af-~said notice of satisfaction, the Board shall be responsible for the maintenance and operation of the Complex. III. Undertakings of the Count~ The County hereby agrees to provide assistance in the construction of the Complex as shall be authorized from time to time by the Cabarrus County Commissioners. The County makes no commitments, express or implied, as to the extent of the assistance which will be offered.[Should the Youth Association be unable to make necessary payments upon the Deed of Trust on the Association Property, the County shall have the right to assume the payments thereof. Additionally, should the Youth Association attempt to utilize the Association Property for any other purpose than that intended in the construction of the Complex, the County shall have the right to take possession of the Association Property upon proper notice to members of the Youth Association's board of directors of such intent.] IV. Undertakings of the Board The Board hereby agrees to and authorizes the construction by both the County and also the Youth Association of those portions of the Complex which shall be located on land currently owned by the Board, subject to final approval by the board of plans for any buildings to be constructed on the Complex to insure that such buildings are consistent with the architecture of the nearby school. Once completed, the Board shall have the right to unlimited use of the Complex but hereby agrees to work with the Youth Association in facilitating their scheduling of youth league games utilizing the Complex. The Board hereby agrees to indemnify the Youth Association against liability for any accidents occurring during events held at the Complex or occurring on the Association Property except during activities sponsored by the Youth Association (an "Association Activity"), defined as: 1) league games sponsored by the Youth Association;
