COMPENSATION A. Consultant shall be compensated for services rendered under this Agreement as follows: When the Client authorizes the Consultant to proceed with the work outlined in Exhibit A, the Consultant shall submit to the Client a detailed Scope of Work to be performed on a specific task, including estimated person-hours, schedule, and estimated costs. The Client will review such Scope of Work, modify as mutually agreed, and provide the ConsUltant with written "Authorized to Proceed". The Client agrees to pay the Consultant monthly, for work completed, on an hourly basis as described in the Hourly Rate Schedule attached hereto as Exhibit B. Direct project expenses including, but not limited to, travel, subsistence, printing, toll telephone calls, specialized equipment rental, and professional services are also reimbursable at actual cost. The initial fee for the project shall not exceed $180,525.00 without prior authorization by the Client. Consultant shall promptly bill Client on a monthly basis for all professional fees and expenses incurred on a monthly basis, and client shall make payment to Consultant within 30 days after receipt of such invoice. If the Client does not make monthly payments in full to the Consultant, the Consultant may suspend services on the basis of non-performance on the part of the Client. When such progress payments are restored, the Consultant will continue services. PERIOD OF PERFORMANCE Consultant agrees to commence performance of services hereunder upon "Authorization To Proceed" as noted above as the effective date of this Agreement, and Consultant estimates that such professional services will be completed upon the mutually agreed to schedule as per Section IH, A. Client recognizes that Consultant's work and the completion thereof may be conditioned upon Client's review of Consultant's work and/or the timely performance and completion of certain activities by Client. Consultant shall not be held liable for delays in performance of the services hereunder that arise from causes beyond Consultant's reasonable control and without its fault or negligence. CLIENT RESPONSIBILITY A. Client shall identify and coordinate all services to be performed hereunder. Client will verify that Consultant has a complete understanding of the scope of services to be performed hereunder. Client shall provide the Consultant, in a timely fashion, all information reasonably required for the performance of the services by Consultant to be performed hereunder. Client shall upon execution of the Agreement, designate Frank W. Clifton, Jr., Cabarms County, County Manager, as coordinator of the project described herein and of the professional services to be performed under this Agreement. H.R.
