This Agreement shall be binding upon the City, the <br />County, the Tourism Authority and the Developer and upon their respective successors <br />and assigns. Any party to this Agreement shall be entitled to assign and transfer this <br />Agreement, and its respective interests and obligations contained in this Agreement, upon <br /> <br />written notice to the other parties hereto, provided, however, that the successor and <br />assignee shall assume all of the relevant rights and obligations of the assigning party as <br />contained in this Agreement. <br /> <br /> (c) Amendments, Changes and Modifications.
