Bylaws and as the Board of Directors may, from time to time, <br />determine. <br /> <br /> Section 5. Vice chairman. In the event of a vacancy in the <br />office of Chairman, or during the Chairman's absence or inability <br />to serve, Vice Chairmen, in the order of their seniority, shall <br />perform all the duties required of the Chairman, and shall have the <br />same powers and privileges. <br /> <br /> Section 6. Secretary. The Secretary shall keep, or cause to <br />be kept, the minutes of the proceedings of the meetings of the <br />Board of Directors and its committees in such manner and form as <br />the Board of Directors shall direct; shall have charge of the <br />correspondence of the Board of Directors; shall notify or cause to <br />be notified, in writing, 'the persons who have been either elected <br />or appointed as members of committees; shall give, or cause to be <br />given, notice to the members of the Board of Directors of all their <br />respective meetings, and perform such other duties as may be <br />required by the Bylaws or as usually appertain to the Secretary's <br />office; shall have the custody of the Seal of the Corporation and <br />shall affix it to suck documents as the Board of Directors may <br />direct; and the Secretary shall have charge of suck books, records <br />and papers as the Board of Directors may direct. <br /> <br /> Section 7. Assistant Secretary. In the absence of the <br />Secretary or in the event of the Secretary's death, inability or <br />refusal to act, the Assistant Secretaries in the order of their <br />length of service as Assistant Secretary, unless otherwise <br />determined by the Board of Directors, shall perform the duties of <br />the Secretary, and when so acting shall have all the powers of and <br />be subject to all the restrictions upon the Secretary. The <br />Assistant Secretary shall perform such other duties as may be <br />assigned to by the Secretary or by the Board of Directors. <br /> <br /> Section 8. Treasurer. The Cabarrus County Manager shall <br />serve as Treasurer for the sole purpose of holding the title and <br />for being authorized to execute any documents calling for the <br />signature of a "Treasurer". All other general financial <br />responsibilities as well as the responsibilities outlined herein <br />shall be performed by the Cabarrus County Department of Finance. <br />The Treasurer shall have custody of all the funds, property and <br />securities belonging to the Corporation, subject to such <br />regulations as may be imposed by the Board of Directors. When <br />necessary or proper, the Treasurer may endorse on behalf of the <br />Corporation for collection checks, notes, and other obligations, <br />and shall deposit the same to the credit of the Corporation at such <br />a bank or banks or depositories as the Board of Directors may <br />designate. The Treasurer shall sign all receipts and vouchers and, <br />together with such officer or officers, if any, as shall be <br />designated by the Board of Directors sign all checks of the <br />Corporation (except for petty checks in such amounts as may be <br />determined by the Board which may be signed by the President' and <br /> <br /> <br />
