AMENDED AND RESTATED ARTICLES OF INCORPORATION <br />OF <br /> CABARRUS ECONOMIC DEVELOPMENT, INC. <br /> <br /> Pursuant to N.C.G.S. Section 55A-10.01, following are Amended <br />and Restated Articles of Incorporation of Cabarrus Economic <br />Development, Inc. <br /> <br /> 1. The name of the corporation is Cabarrus Economic <br />Development, Inc. <br /> <br /> 2. The corporation is a non-profit corporation within the <br />meaning of North Carolina Statutes S55A-1-40(17). <br /> <br /> 3. The address of the registered office of the corporation in <br />the state of North Carolina is 2325 Concord Lake Road, Concord, <br />North Carolina, and the Registered Agent is Maurice D. Ewing. <br /> <br /> 4. The street address and mailing address of the principal <br />office of the Corporation is 2325 Concord Lake Road, Concord, North <br />Carolina. <br /> <br />5. The corporation shall have no members. <br /> <br /> 6. The affairs of the corporation shall be managed by the <br />Board of Directors, the members of which shall be elected or <br />appointed in the manner and for the terms provided in the By-Laws <br />of the corporation. <br /> <br /> 7. The objects for which this corporation is formed are as <br />follows: <br /> <br /> The purposes for which the Corporation is organized are to <br />promote economic development and expansion and new and improved <br />employment opportunities beneficial to the citizens of Cabarrus <br />County and surrounding areas through programs and efforts to foster <br />industrial and busines§ growth; to seek and attract new and <br />relocating industry and business; to retain existing industry and <br />business; to participate in industrial land development; to <br />purchase land and to erect and lease manufacturing facilities; to <br />coordinate and encourage the issuance of industrial revenue bonds <br />and other means of financing; to maintain a list of industrial <br />sites and vacant manufacturing and industrial facilities available <br />for rent or purchase; and to do any other act or thing incidental <br />to or connected with the foregoing purposes or in advancement <br />thereof. <br /> <br /> 8. To the fullest extent permitted by the North Carolina <br />Nonprofit Corporation Act as it exists or may hereafter be amended, <br />no person who is serving, or has served as a Director of the <br />corporation shall be personally liable for monetary damages for <br />breach of any duty as a Director. No amendment or repeal of this <br />article, nor the adoption of any other amendment to these Articles <br /> <br /> <br />
