expiration of the Term or sooner termination of this Lease <br />shall, without compensation to Tenant, then become Landlord's <br />property, free and clear of all claims to or against them by <br />Tenant or any third person, and Tenant shall defend, indemnify <br />and hold Landlord harmless against all liabilities and loss <br />arising from such claims or from Landlord's exercise of the <br />rights conferred by this paragraph 10. <br /> <br /> Upon the expiration or earlier termination of the term <br />of this Lease, any improvements shall become the sole property <br />of Landlord without obligation to Tenant, subject to the <br />preceding paragraph. Landlord shall accept such improvements <br />upon expiration or earlier termination of the term of this <br />Lease in their then "as-is" condition, except that in the <br />event that any improvements have been damaged by fire or <br />casualty at such time. Tenant shall be obligated to either <br />restore such damage, repair the improvements. Alter the <br />improvements to such a condition as will allow the remaining <br />improvements to function as an architectural whole, or <br />demolish the improvements and remove the debris from the <br />Demised Premises. <br /> <br /> 11. Assiqnment and Sublettinq. Tenant may not sell, <br />convey, transfer, assign or encumber this Lease or any <br />interest therein without the express, prior written consent of <br />Landlord, which such consent shall not be unreasonably <br />withheld. Tenant shall remain primarily responsible for <br />compliance with all terms and conditions of this Lease, <br />including without limitation, all charges and assessments. <br /> <br /> 12. Events of Default. If any one (1) or more of the <br />following events ("Events of Default") shall occur: <br /> <br />(a) <br /> <br />If the Tenant shall default in the payment when due <br />of any rental and Tenant does not remedy such <br />default within fifteen (15) days' after written <br />notice given by Landlord in the manner set forth in <br />paragraph 21 hereafter; or <br /> <br />(b) <br /> <br />If the Tenant shall default in the payment of any <br />other sum of money specified hereunder to be paid <br />by Tenant, and Tenant does not remedy such default <br />within thirty (30) business days after written <br />notice given in the manner as set forth in <br />paragraph 21 hereafter; or <br /> <br />(c) <br /> <br />If Tenant shall default in the performance of any <br />other of the terms, conditions or covenants <br />contained in this Lease to be performed or observed <br />by it, and the Tenant does not remedy such default <br /> <br />7 <br /> <br /> <br />
