construction of the Ring Road). Upon completion, the City shall cause Kings Grant to be renamed <br />"Concord Mills Parkway" (including appropriate road-way and highway signage) which name. to <br />the extent permitted by law, would not be changed or modified without the prior written consent of <br />Mills. The County and the City agree to use best efforts to cooperate and assist Milts in the <br />construction of Kings Grant including but not limited to obtaining/granting any easements (including <br />temporary construction easements) as may be necessary or appropriate for the construction of the <br />Kings Grant. The City will reimburse Mills for all costs and expenses incurred in connection with <br />or related to the completion of the Kings Grant (such l:eimbursement obligation will not exceed <br />$2,000,000.00 unless related to the negligence or misconduct by the City or County): The City will <br />make such reimbursement within 15- days after delivery of an invoice from Mills. Within ninety <br />(90) days of the execution of this Agreement, the City shall cause the $2,000,000 to be deposited in <br />a separate account to be applied to the work described herein. <br /> <br /> With respect to the costs related to Kings Grant in excess of the City's reimbursement <br />obligation as aforesaid, as well as the remaining "Roadway Improvements & Upgrades" reflected <br />in Schedule 1 of the MOU, the parties hereto shall endeavor in good faith and use their reasonable <br />efforts to cooperate and assist each other to secure a commitment from the State of North Carolina <br />to pay for all or part of such costs. <br /> <br /> (3) Wetlands. The City shall use its best efforts to promptly file and pursue to <br />completion all necessary permits and/or applications in connection with or related to any and all <br />North Carolina and/or federal agencies (e.g. Army Corps of Engineers/EPA) having authority or <br />jurisdiction with respect to '.'wetlands" (including mitigation related thereto) resulting from or <br />related to the relocation of Kings Grant under the EPA's Nationwide Permit.
