Selling Partner hereby warrants to Buying Partner that its <br /> partnership interest hereby conveyed is free and clear of all <br /> liens, encumbrances, claims of creditors, tax liens and any other <br /> debt or claim. The Selling Partner hereby warrants good and <br /> marketable title to the Partnership interest transferred hereunder. <br /> <br /> 3. The terms of the transfer are: <br /> <br /> a. The sum of $32,500.00 to be paid from Buying <br /> Partner to Selling Partner; <br /> <br /> b. The sum of $1,500.00 to be paid by Buying Partner <br /> to First Carolina Properties as compensation for previous <br /> real estate brokerage services and expenses; <br /> <br /> c. As of August 1, 1994, proration of real estate <br /> taxes due on the real estate which is the primary asset <br /> of the Partnership for the calendar year 1994 to Cabarrus <br /> County and the City of Concord; <br /> <br /> d. As of August 1, 1994, proration of all interest <br /> and other accrued expenses due by the Partnership in <br /> connection with the real estate which is the primary <br /> asset of the Partnership; and <br /> <br /> e. As of August 1, 1994, the proration of any <br /> rental income due the Partnership in connection with the <br /> property which is the primary asset of the Partnership. <br /> <br /> 4. Continuing Partner and Buying Partner agree that the <br />Partnership shall continue in existence and in full force and <br />effect and shall continue to be governed by the Partnership <br />Agreement dated August 30, 1991. Buying Partner hereby" ratifies <br />and adopts such Partnership Agreement and both parties agree that <br />it shall be bound by the responsibilities and have full benefit of <br />the privileges stated in such agreement. <br /> <br /> 5.
