6.2.3 Substitute Annual Meeting: If the annual meeting shall not be held on the day designated as provided in Section 6.2.2, a substitute annual meeting may be called in accordance with the provisions of Section 6.2.4. A meeting so called shall be designated and treated for all purposes as the annual meeting. 6.2.4 Special Meeting: Special meetings of the Partners may be called at any time by the Pa~t~ership Secretary (as described in Section 6.3) or by any Partner. 6.2.5 Regular Meetings: The Partners intend to meet on a regular basis, in no event less often that once each calendar quarter. The Partners may by resolution at the annual meeting provide for the holding of regular meetings of the Partnership on specified dates and at specified times. Notice of regular meetings held at the principal office of the Partnership and at the usual scheduled time shall not be required. 6.2.6 Notice of Meetings: Notice of any meeting may be given orally or in writing. Except as provided in Section 6.2.5, such Notice must be given to each Partner at lease ten business days before the date of the meeting. It shall be the primary responsibility of the Partnership Secretary to give such notice, but it may be given by or at the direction of any Partner who is calling the meeting. Attendance by a Partner at a meeting with respect to which notice is required shall constitute a waiver of notice of such meeting. 6.2.7 Quorum: The presence of Partners owning a majority in Percentage Interests in the Partnership, either in person or by proxy, shall constitute the presence of a quorum at any meeting of the Partners described in this Section 6.2. 6.3 Partnership Secretary. The Partners shall elect a Partnership Secretary at the Partnership's annual meeting. The Secretary, who need not be a Partner, shall retain this position until the next regular meeting at which a Partnership ~Secretary is to be elected or until the Secretary's successor is elected and qualifies. The Secretary shall keep accurate records of the acts and proceedings of all meetings of Partners. Except as otherwise agreed to by the Partners, the Partnership Secretary shall preside at all meetings of Partners. The Partnership Secretary shall perfo£m all other duties as may be delegated from time to time by the Partners. 6.4 Time Devoted to Partnership; Salaries. Unless otherwise agreed in writing by the Partners, none of the Partners shall be required or expected to devote its full time to the business of the Partnership, but each of the Partners shall be expected to devote such time to Partnership affairs as shall be required to plan and carry out the business of the Partnership.
