PROPST BROS. DISTS., INC.
P. O. Box 949
CONCORD, N. C. 28025

October 22, 1996

Sherri M. Barnhardt
Purchasing Agent
Cabarrus County
Concord, N. C.

Reference:

ExxON COMMERCIAL CARD, PURCNASING GASOLINE AND
DIESEL AT ETON EXPRESS SHOPPES, CONCORD, N.C.

Dear Ms. Barnhardt:

We currently supply gasoline and diesel fuel to Cabarrus County on
an annual bid basis. These products are delivered by our transport
trucks to the bus garage on Union Cemetery Road.

We would like to make a different proposal to the County where by
your vehicles could fuel at one of our several locations located
around Concord that have "Express Pay" features at the pump.

You will recall from our previous visit with the Exxon Commercial
Card Representative the detailed monthly reporting you receive in
your monthly statement. Also if purchases exceed $10,000.00
monthly your discount will amount to 3% from Exxon. In addition,
Propst Bros. Dists. will match the discount, from Exxon on a monthly
basis. For example, you receive a statement from Exxon in the
amount of $12,000.00, you will receive discount of $360.00. Fax to
us a copy of statement and we will issue our check to the County
for $360.00. The two combined would amount to a 6% discount.

If the discount schedule should change with Exxon with a proper
notice, we would like the opportunity to sit down and renego~iate
our agreement with terms agreeable to both Cabarrus County and
Propst Bros.

I realize this proposal must be given much consideration and
discussion. We will need approximately sixty days after an
agreement is reached for us to have the equipment installed and
ready to go.
