NORTH CAROLINA <br /> <br />CABARRUS COUNTY <br /> <br />GROUND LEASE AGREEMENT <br /> <br />THIS GROUND LEASE AGREEMENT, dated as of the day of <br />, 199 (together with any amendments hereto made in <br />accordance herewith, this "Lease"), entered into by and between the <br />city of Concord (the "City"), a municipal corporation duly created <br />and existing under the laws of the State of North Carolina, as <br />Lessor hereunder, and the County of Cabarrus (the "County"), a <br />political subdivision of the State of North Carolina, as Lessee <br />hereunder; <br /> <br />W I T N E S S E T H: that -- <br /> <br /> WHEREAS, the County owns and operates an animal shelter and a <br />separate general services facility for the maintenance of the <br />County's equipment and buildings (the "Animal Shelter" and the <br />"General Services Facility"), located in Cabarrus County, North <br />Carolina; <br /> <br /> WHEREAS, the County desires to expand the Animal Shelter and <br />to relocate and improve its General Services Facility in order to <br />better serve the citizens and residents of Cabarrus County; <br /> <br /> WHEREAS, the City has offered to lease certain real property <br />(the "Demised Premises") to the County for the construction and <br />operation of an Animal Shelter and General Services Facility; <br /> <br /> WHEREAS, it is in the mutual best interest of City and County <br />that the Animal Shelter and the General Services Facility be <br />located upon the Demised Premises; <br /> <br /> WHEREAS, the City owns the Demised Premises, a metes and <br />bounds description thereof being contained in Exhibit A hereto and <br />incorporated herein by reference; <br /> <br /> WHEREAS, the Board of Aldermen of the City (the "Board") has <br />determined and hereby reaffirms that it is in the best interest of <br />the City that the City enter into this Lease of the Demised <br />Premises to the County; <br /> <br /> WHEREAS, the execution, performance and delivery of this Lease <br />by the City have been authorized, approved and directed by the <br />Board by action taken and adopted by the Board on the day of <br /> , 19 ; <br /> <br /> WHEREAS, the execution, delivery and performance of this Lease <br />by the County have been authorized, approved and directed by all <br />necessary and appropriate action of the Board of Commissioners of <br />the County on the __ day of , 19 ; <br /> <br /> WHEREAS, the County desires to lease the Demised Premises from <br />the City, and the City desires to lease the Demised Premises to the <br /> <br /> <br />
