BY-LAWS <br /> <br />ARTICLE III <br /> <br />DIRECTORS <br /> <br /> Section 1. General Powers: The business and <br />affairs of the Corporation shall be managed by the Board of <br />Directors. <br /> <br /> Section 2. Number, Term and Qualifications: <br />The number of directors constituting the Board of Directors <br />shall be no more than fifteen (15). The directors shall be <br />as follows: Two County Commissioners, the County Manager, <br />the City Managers of Concord and Kannapolis, the Executive <br />Directors of the Concord/Cabarrus County and Kannapolis <br />Chambers of Commerce, the Executive Director of the Cabarrus <br />County Water and Sewer Authority, a member of the State <br />Legislature residing in Cabarrus county and three residents <br />of Cabarrus County who do not.reside or work in either of <br />the cities of Concord and Kannapolis. In addition, the <br />Board of Directors may appoint up to three additional <br />members, if in its judgment such appointment would be of <br />benefit to the corporation. <br />The County Manager, the City Manager and the Executive <br />Directors of the Chambers and the Water and Sewer Authority <br />may each appoint a designee with full director status, <br />either on a long term or specific meeting basis, by doing so <br />in writing and delivered to the Secretary. <br /> <br /> Section 3. Election of Directors: Except as <br />noted below, all director positions not established as ex <br />officio, including the member of the legislature, shall be <br />appointed by the Cabarrus County Board of Commissioners <br />according to the procedures of the Board of County <br />Commissioners. If the Board of Directors appoints any <br />directors as permitted in Section 2. above, these shall be <br />limited to two three year terms with the 1994-1995 directors <br />filling staggered terms. <br /> <br /> Section 4. Vacancies: Vacancies shall be <br />filled by the Board of Commissioners in the instances of <br />directors positions appointed by it. Ex officio position <br />vacancies may be filled on a temporary or specific basis by <br />the governing body of the agency represented. <br /> <br /> Section 5. Special Directors: The Board of <br />Directors may by resolution designate special members of the <br />Board of Directors to attend and participate in meetings of <br />the Board, but who shall have no vote. <br /> <br /> <br />
