BY-LAWS ARTICLE III DIRECTORS Section 1. General Powers: The business and affairs of the Corporation shall be managed by the Board of Directors. Section 2. Number, Term and Qualifications: The number of directors constituting the Board of Directors shall be no more than fifteen (15). The directors shall be as follows: Two County Commissioners, the County Manager, the City Managers of Concord and Kannapolis, the Executive Directors of the Concord/Cabarrus County and Kannapolis Chambers of Commerce, the Executive Director of the Cabarrus County Water and Sewer Authority, a member of the State Legislature residing in Cabarrus county and three residents of Cabarrus County who do not.reside or work in either of the cities of Concord and Kannapolis. In addition, the Board of Directors may appoint up to three additional members, if in its judgment such appointment would be of benefit to the corporation. The County Manager, the City Manager and the Executive Directors of the Chambers and the Water and Sewer Authority may each appoint a designee with full director status, either on a long term or specific meeting basis, by doing so in writing and delivered to the Secretary. Section 3. Election of Directors: Except as noted below, all director positions not established as ex officio, including the member of the legislature, shall be appointed by the Cabarrus County Board of Commissioners according to the procedures of the Board of County Commissioners. If the Board of Directors appoints any directors as permitted in Section 2. above, these shall be limited to two three year terms with the 1994-1995 directors filling staggered terms. Section 4. Vacancies: Vacancies shall be filled by the Board of Commissioners in the instances of directors positions appointed by it. Ex officio position vacancies may be filled on a temporary or specific basis by the governing body of the agency represented. Section 5. Special Directors: The Board of Directors may by resolution designate special members of the Board of Directors to attend and participate in meetings of the Board, but who shall have no vote.
