II.

Centralina Development Corporation, Inc.

A. Membership

Cabarrus County has three (3) of twenty-five (25) members. They
are appointed by the County Commissioners and represent (1) local
government (2) local private lending institutions (3) local community
organizations (4) business organization (the local government
representative may - but need not be a local elected official).

The membership meets once a year (annual meeting) and elects two
of the three members of the Board of Directors. The Board meets
on the last Tuesday of each month at 2:00 or earlier as needed. The
Board, in addition to establishing the practices, policies and
procedures, reviews loan applications from applicants throughout the
region. Most members are financially oriented in that they are or
have been employed by a bank or savings and loan, they are active
in the area of economic development or they have experience in
operating a business. It is imperative that the member, if elected to
the Board, be willing to actively participate and attend the monthly
meetings on a regular basis.

B. Each
appointment is for a one year term unless it is to fill a vacated
position. New appointments will cover the period 7/1/93 to 6/30/94.
