ICABARRUS <br /> <br />C~B~RRUS COUNTY LF.~SE PURCHASE F'rN~CING RESOLUTION <br /> <br /> On January 21, 1992, the Board of Commissioners of Cabarrus County, <br />North Carolina (Lessee) found and determined that the reasonably <br />anticipated amount of tax-exempt obligations (other than private <br />activity bonds), which will be issued by Lessee and all its subordinate <br />entities during this calendar year will not exceed $10,000,000.00. <br />Additionally, the obligation referred to as Supplementary Schedule <br />Number One, between Wachovia Leasing Corporation and Lessee was <br />designated a "qualified tax-exempt obligation" within the meaning of <br />section 265 (b) (3) (B) (ii) of the Internal Revenue Code of 1986 on the <br />same date. <br /> <br />ATTEST: <br />(Seal) (Lessee) <br /> <br />By: By: <br /> <br />Frankie F.
