12. Binding Arbitration. Any controversy er claim arising out of or relating to this Agreement, except a default under ll.b. or !l.c. above, shall be settled by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. 13. Joinder of Subsidiary. Subsidiary joins in the execution of this Agreement for the purpose of acknowledging its consent and agreement to be bound by the terms and conditions of this Agreement in the event that the leasehold interest of City under the Lease shall be terminated for any reason whatsoever. 14. Notices.
