CHH at its o~n expense shall procure and maintain for the duration of this contract for Comprehensive General Liability including coverage for personal injury hazards A, B, and C, products and completed operations and contractual assumed under the indemnity provision of this liability contract for limits of not less than $500,000 bodily injury liability each occurrence/aggregate and $250,000 property damage liability each occurrence/aggregate. Workers Compensation and Occupational Disease Insurance meeting the statutory requirements of the State of North Carolina and employers' liability insurance for an amount of not less than $100,000. If CHH with the permission of the Purchaser, subcontracts any of the ~ork or services under this contract, then CHH shall require require the subcontractor to carry the appropriate insurance and to save harmless CHH and the Purchaser. Assurance statements shall be furnished by CHH reflecting such coverage prior to any payment of funds under this contract and shall contain the provision that the Council be given thirty (30) days written notice of any intent to amend or terminate such policies by either the agency or the insuring company. 16. Changes: The Purchaser may require changes in the work and services which CHH is to perform hereunder. Such changes, including any increase or decrease in the amount of CHH compensation, which are mutually agreed upon by and between the Purchaser and CHH shall be incorporated in written amendments to this contract. Conditions of this contract, if any must be satisfactorily addressed as specified in an attachment. The Purchaser may withhold payments under this contract until these conditions are satisfied. 17. Termination of the Contract for Cause: If through any cause, tM}{ shall fail to fulfill in a timely and proper manner its obligations under this contract, or if CMl{ has to violate any of the covenants, agreements, representations or stipulations of this contract, the Purchaser shall therefore have the right to terminate this contract by giving written notice to CM~. of such termination and specifying the effective date thereof. In such event, all finished documents and other materials collected or produced under this contract shall at the option of the Purchaser, become the property of the Purchaser. CMl{ shall be entitled to receive just and equitable compensation for any work satisfactorily performed under this contract, except to the extent such work must be duplicated in order to complete the contract. Not withstanding the foregoing, CHH shall not be relieved of liability to the sustained the Purchaser virtue of breach of Purchaser for damages by by any this contract by CHH and the Purchaser may withhold payment of any additional s,,~e as security for payment of d=m~ges caused by the Agency's breach, until such time as the exact amount of the damages resulting from such breach is determined.
