shall pay BRC an amount equal to ~', per Product unit for an aggregate annual Parts-Only Maintenance Fee for 35 Product Units of $ 4,375.00 as the contract price for the contract year. Upon execution of this Contract and each annual renewal date thereafter, BRC shall invoice the Customer for the said sum or its subsequently adjusted value and the Customer shall remit its payment in full within thirty (30) days of the receipt of such invoice. If BRC shall not have received any payment owed to it by Customer by the date such payment is due, BRC may charge Customer interest on such overdue payments at the rate of one and one-half percent per month or part of a month. Customer agrees to indemnify and hold BRC harmless for all reasonable and necessary costs involved in collecting overdue payments from Customer. 3. Responsibilities of BRC. Upon being notified in writing or by telephone call by the Customer to BRC's Texas parts/maintenance contact) of the need for a particular part or parts for one of the Products, BRC shall promptly supply any and all such parts to the Customer which are reasonably necessary to enable Customer to maintain the Product at all times in good working condition. These parts shall be provided to the Customer free of charges except those noted in -~Paragraph 2 above. In addition, BRC agrees that it shall be responsible for the cost of shipment of any part to the Customer and Customer agrees that it Shall be responsible for the.cost of shipping any defective part to BRC. All parts supplied by BRC shall be either new standard parts or parts of equal or better quality, and shall, at BRC's election, be substituted and exchanged for the old parts which shall then become the property of BRC. BRC agrees to permit the Customer to add any units subsequently purchased by the Customer to the coverage of this Agreement upon payment of the contracted per unit parts rate then in effect under this Agreement for each such additional unit. BRC agrees to maintain an inventory of spare parts, spare boards and spare components at its Texas parts/maintenance facility (or such other BRC facility as BRC shall direct Customer to contact) to accommodate prompt repair of the Products. 4. Responsibilities of Customer Upon discovery of the need for a part for any Product, Customer shall promptly notify BRC at its Texas repair/maintenance facility (or such other BRC facility as BRC shall direct Customer to contact) during BRC's normal working hours of the serial number of the specific Product which is in need of the part, the specific part needed, the identity of the person calling on behalf of the Customer, and any additional information which BRC shall reasonably request to enable it to respond to the Customer's request. If BRC so requests, Customer shall ship to BRC at the Customer's sole expense the defective part or parts from Customer Product(s). Customer agrees that only its BRC trained technicians or other BRC trained personnel shall perform maintenance upon Customer's Products. If BRC so requests, Customer shall record, in reasonable detail, operating information relating to the Products or any one of them. Such records ~hall be adequate to show the operating history of ProduCts, including any history of malfunctions.
