Assurance statements shall be furnished by the Center reflecting such coverage prior to any payment of funds under this contract and shall contain the-provision that the Purchaser be given thirty (30) days written notice of any intent to amend or terminate such policies by either the Center or the insuring company. 15. Changes. The Purchaser may require changes in the work and services ~,hich the Center is to perfocm hereunder. ~uch changes~ including any increase or decrease in the amount of the Center's compensations which are mutually agreed upon by and between the Purchaser and the Center, shall be incorporated in written amendments Co this contract. Conditions of chis contract, if any, ~ust be satisfactorily addressed. The Purchaser =ay withhold payments under this contract until these conditions are satisfied, . : 16. Termination of the Contract for Cause. If through any cause, the Cancer or Furchaser fails to fulfill in a timely and proper manner its obligations under this contract, or if the Center or Purchaser violates any of the covenants, agreements, representations or stipulations of this contract, the Purchaser or the Center shell therefore have the right to terminate this contract by giving notice co the Center or Purchaser of such termination and specifying the dare thereof. In such event, all finished documents and other materials provided by the Purchaser under this contr@ct shall at the option of the Purchaser, become the property of the Purchaser and like-isa in such event all iinished documents and other materials under this contract shall at the option oi the Center become the property of the Center. lhe Center shall be entitle to receive just end equitable compensation for any ~ork satisfactorily pcrformed under el,is contract, except to the e~ent such york be duplicated in order to complete the contract. Notwithstanding the foregoing, the Center shall net be relieved of liability to the Purchaser for damages sustained by the Purchaser by virtue of any breach of this contract by the Center, and the Purchaser may ~ithhold pa)~enc of any agditional sums as security for payment of damages caused by the Center*s breach, until such time as the exact amount of the damages resulting from such breach is determined. 17. Tar~ination for Convenience. The Purchaser or Center may terminate this contract for the convenience of the Purchaser or Center at any time by giving notice at least fifteen (15) days before the effective date of such termination. In that event, all finished or unfinished documents and other materials provided by the Purchaser produced cr collected shell, at the option of the Purchaser, become the proper~y of the Purchaser and vice versa. If terminated by either the Purchaser or the Center, t~c Center viii be paid $ 3.25 per unit for any units provided during the contract period.
