Purchaser agrees to indemnify and save harmless the Center, its agents and em'ployees from and against any and all loss, cost, damages, expense and liability caused by the failure of Purchaser to fully perform its obligations undctr., this agreement and in accord with its terms; or by an.accident or other occurrence causing bodily injury, including death, ~fck~.ess and personal, which may arise from operations, products or services rendered under this contract. ~ 1db The Center at its o~xx expense shall procure and main~ain for the duration of this contract for Comprehensive General Liability includ~ng coverage for personal injury hazards A, B, and C, products and completed operations and contractua~ liability assumed nnder the indemnity provision of this contract for limits of' not less that $500,000 bodily injury liability each occurrence/aggregate and $250,000 proper~y damage liability each occurrence/aggregate. Uorkers Compensafion and Occupational Disease Insurance meeti~g the statutory requirements of the State of North Carolina and employers' liability insurance for an amount of not less that $100,000. If the Center, with the permission of the Purchaser, subcontracts any of the work or services under this contract, then the Center shall save harmless the Center and the Purchaser. Assurance statements shall be furnished by the Center reflecting such coverage prior to any pa)~ent of funds under this contract and shall contain the provision that the Council he given, thirty days vritten notice of any intent to amend or terminate such policies by either the Agency or the insuring company. 15. Chan~es. The Purchaser may require changes in the work and services which the Center is ~o perform hereunder. Such changes, including any increase or decrease in the amount of the Center's compensation, which are mutually agreed upon by and between the Purchaser and the Center, shall be incorporated in written amendments to this contract, if any, must he satisfactorily addressed es specified in and Attachment. The Purchasez may withhold payments under this contract until these conditions are satisfied. 16. Termination of the Contract for Cause. If through any cause, the Center or Purchasez fails to fulfill in a timely and proper manner its obligations under this contract, or it the Center or Purchaser violates any of the covenants, agreements, representations or stipulations of this contract, the Purchaser or the Center shall therefore have the ~ight to terminate this contract by giving written notice to the Center or Purchaser of such termination and specifying the effective date thereof. In such event, all finished documents and other m~teriats provided 'by Purchaser under this contract shall at the option of the Purchaser, become the property of the Purchaser. and likewise in such event al/ finished documents and other materials under this contract shall at the option of 'the Center become the property Of 'the Center, The Center shall be entitle to receive just and equitable compensation for any' work satisfactorily performed under this contract~ except to the extent such work must he duplicated in order to complete the contract.
