If the <br /> Center, with the permission of the purchaser, subcontracts any of <br /> the work or services under this contract, then the Center shall <br /> require the subcontractor to carry the appropriate insurance and to <br /> save harmless the Center and the Purchaser. <br /> Assurance statements shall be furnished by the Center reflecting <br /> such coverage prior to any pa)~ent of funds under this contract mud <br /> shall contain the provision that the Council be given, thirty days <br /> written notice of any intent to amend oz terminat~ such policies by <br /> either thc Agency or the insuring company. <br /> <br />15. Chan~es. The Purchaser may require changes in the work and services <br /> ~hich the Center is £o perform hereunder. Such changes, including <br /> any increase or decrease in the amount of the Center's compensation, <br /> which are mutually agreed upon by and between the Purchaser and the <br /> Center, shall be incorporated in written amendments to this contract, <br /> if any, must be satisfactorily addressed as specified in and Attachment. <br /> The Purchaser may withhold payments under this contract until these <br /> conditions are satisfied. <br /> <br />16. Termination of the Contract for Cause. If through any cause, the Center <br /> or purchaser fails to fulfill in a timely and proper manner its obligations <br /> under this contract, or it the Center or Purchaser violates any of the <br /> covenants~ agreements, representations or stipulations of this contract, <br /> the Purchaser or the Center shall therefore have the right to terminate <br /> this contract by giving written notice to the Center or Purchaser of <br /> such termination and specifying the effective date thereof. In such <br /> event, all finished documents and other materials provided by Purchaser <br /> under this contract shall at the option of the Purchaser~ become the <br /> property of the Purchaser.audlikewise in such event all finished documents <br /> and other materials under this contract shall at the option of'the Center <br /> become the property of 'the Center. The Center shall be entitle to receive <br /> just and equitable compensation for any' work satisfactorily performed <br /> under this contract, except to the extent such work must be duplicated <br /> in order to complete the contract. <br /> <br /> <br />
