Stock <br /> by Container Corporation of Carolina <br /> <br /> Dear Fletcher: <br /> <br /> This letter is to follow up on our telephone conversation <br /> of today. As both Boyd Campbell and I have advised and discussed <br /> with you, our client, Container Corporation of Carolina ("CCC"), <br /> which operates a waste collection business here in Charlotte and <br /> in several other cities, intends-to purcha.se from Boyd's c~ient, <br /> William E. Fisher; all of the outstanding stock of J&F Disposal . <br /> Co., Inc. {"J&F") and thereafter to continue the operations of <br /> J&F as a subsidiary of CCC and with Mr. Fisher continuing as <br /> operations manager of J&F. We contemplate that this purchase <br /> of the J&F stock will be closed on August 20. <br /> <br /> We understand that J&F holds a currently effective franchise <br /> for its waste collection business in Cabarrus County, and hav~ <br /> discussed this transaction and the status of the franchise with <br /> you as County Attorney for Cabarrus County. We do not feel that <br /> the sale of the J&F stock constitutes a transfer of the J&F fran- <br /> chise within the provisions of the ordinance, in that the fran- <br /> chise will obviously continue to be held by J&F, which will <br /> continue its operations as a subsidiary of CCC. We understand <br /> that you likewise so interpret the ordinance and franchise and <br /> that you would so advise the County should an inquiry in this <br /> regard arise. <br /> <br /> We appreciate your providing us with your view of this mat- <br /> ter and simply want to confirm our conversation with you and the <br /> fact that the parties intend to proceed with this transaction on . <br /> the assumption that the sale of the J&F stock does not constitute <br /> <br /> <br />
