<br /> The Board of Commissioners for the County of Cabarrus met in regular
<br />session at the Courthouse in Concord, North Carolina, on Monday, June 1,
<br />1981, at 9:30 A.M.
<br /> Present - Chairman: Ralph C. Bonds
<br /> Commissioners: J. Harold Nash
<br /> Troy R. Cook
<br /> James W. Lentz
<br /> Kenneth F. Payne
<br /> The invocation was given by Reverend Gregory C. Slater of the Associate
<br />Reformed Presbyterian Church.
<br /> The minutes of May 18, 1981 were corrected to read as follows.
<br />
<br />UPON MOTION of Commissioner Payne, seconded by Chairman Bonds with
<br />Commissioners Payne and Nash and Chairman Bonds voting for and
<br />Commissioners Lentz and Cook voting against, the Board passed on
<br />first reading the following License Tax Ordinance levying an annual
<br />tax on dogs effective January 1, 1982.

<br />UPON MOTION of Commissioner Payne, seconded by Chairman Bonds with
<br />Commissioners Payne, Nash, and Lentz and Chairman Bonds voting for
<br />Commissioner Cook voting against, the Board passed on first reading
<br />the following amendment to the Animal Control Ordinance of Cabarrus
<br />County.
<br />
<br /> UPON MOTION of Commissioner Payne, seconded by Commissioner Nash and
<br />unanimously carried, the corrected minutes of May 18, 1981 were approved.
<br /> Mrs. Betsy Carpenter, President of the Cabarrus Animal Protection
<br />Association, urged the Board to adopt the Dog Tax Ordinance levying an
<br />annual license tax on dogs. She requested that the County give the City of
<br />Concord its share of the tax money collected and also asked that all tax
<br />money collected on dogs be channeled'into an animal fund in order to improve
<br />animal control services throughout the County.
<br /> Commissioner Nash made motion, seconded by Commissioner Lentz, to move
<br />the item of the agenda in regards to the Dog Tax Ordinance and amendment to
<br />the Animal Control Ordinance until the Board reconvened after lunch.
<br /> UPON AMENDED MOTION of Commissioner Nash, seconded by Commissioner
<br />Payne and unanimously carried, the Board moved to change the order of the
<br />agenda and to discuss the Dog Tax Ordinance and the amendment to the
<br />Animal Control Ordinance at an opportune time as determined by the Chairman
<br />of the Board.
<br /> Mr. Robert Melton, General Manager of Vision Cable of Metrolina, informed
<br />the Board that Vision Cable had proposed to merge with a subsidiary of The
<br />Newhouse Group, Inc., in order to benefit from the extensive resources and
<br />experience of The Newhouse Group. He explained there would be no change in
<br />the Cabarrus County cable system's operation as Vision Cable would continue
<br />to operate as a separate corporation after the merger.
<br /> The Guaranty Agreement from The Newhouse Group to Cabarrus County was
<br /> as follows.

<br />GUARANTY AGREEMENT
<br />
<br /> GUARANTY given this 8th day of May, 1981, by THE NEWHOUSE GROUP, INC.,
<br />hereinafter called the "Guarantor", to the CABARRUS COUNTY BOARD OF
<br />COMMISSIONERS, hereinafter called "Board".
<br /> WHEREAS, The Guarantor is in the business of publishing and communications
<br />and whereas, the Guarantor wishes to merge its subsidiary, SDC Cable, Inc.
<br />(hereinafter called "SDC") with Vision Cable Communications, Inc, a/k/a
<br />Vision Cable of Metrolina, hereinafter referred to as "Vision"; and
<br /> WHEREAS, Vision has entered into a franchise agreement, dated November 22,
<br />1978, with Cabarrus County which was adopted by the Board at its regular
<br />meeting on November 9, 1978, and which is hereby incorporated by reference;
<br />and
<br /> WHEREAS, the Guarantor seeks the approval of the Board of the merger of
<br />SDC with Vision, and the Guarantor further seeks a resolution from the Board
<br />specifically approving said merger,
<br /> NOW, THEREFORE, the Guarantor, in consideration of the foregoing, agrees
<br />as follows:
