56 <br /> <br />WITNESSETH: <br /> <br /> WHEREAS, Cabarrus County desires to improve their emergency medical <br />services program, and has submitted to the Council a proposal for such <br />improvements; and <br /> WHEREAS, said proposal was included in the EMS Area III Emerg.ency <br />Medical Services System Expansion - 1204(1) application prepared by the <br />Council for submittal to the U. S. Department of Health and Human Services <br />through the N. C. Department of Human Resources; and <br /> WHEREAS, the Council's application, including the County's proposal, has <br />been approved and subsequently funded; <br /> NOW THEREFORE, in consideration of the premises and payment of the funds <br />as hereinafter set forth, both the County and the Council do mutually agree <br />to the following: <br /> <br />GENERAL UNDERSTANDINGS <br />1. The Council agrees to provide or to cause to be provided those <br /> certain items of emergency ambulance equipment set forth in <br /> Exhibit A, attached hereto and incorporated herein by reference. <br />2. The Council agrees to pay 60% of the total purchase price of <br /> those certain items set forth in Exhibit A, provided that under no <br /> circumstances shall the amount paid by the Council exceed $2,051. <br />3. The County(or Squad) agrees to provide toward the total purchase <br /> price an amount equal tO at least 40% of the total purchase price <br /> of items set forth in Exhibit A. <br />4. Payment of funds by the Council as specified in this agreement is <br /> dependent upon and subject ~to the Council's receipt of funds <br /> allocated and appropriated for this purpose from the N. C. Depart- <br /> ment of Human Resources. <br /> 5. The County agrees to name Benny H. Mabrey as their official <br /> project director for all matters pertaining to this agreement. <br /> 6. The County agrees to submit in writing to the Council any request <br /> for changes in the aforesaid equipment or budget therefore, and to <br /> receive the approval of the Council prior to implementing any <br /> such changes. <br /> 7. The County shall serve as purchasing agent for the aforesaid <br /> equipment. <br /> 8. Title to the aforesaid equipment, upon delivery and acceptance <br /> thereof, shall be vested in the County, and all warranties shall <br /> similarly become vested to the County. Any agreements for the <br /> servicing of said equipment shall be made directly between the <br /> Rescue Squad and the vendor. <br /> 9. The County agrees to maintain and administer, in accordance with <br /> sound business practice, a program for the maintenance, repair, <br /> protection, preservation, control of, and accountability for the <br /> equipment so as to assure its full availability and usefulness <br /> for its intended function. Property management and disposition <br /> shall be governed by the provisions of Title 45, CFR Part 74, <br /> Subpart O. <br /> 10. The County agrees to affix a unique identification number (that <br /> is permanently attached for inventory purposes) on each item of the <br /> aforesaid equipment. Within thirty (30) days following the <br /> installation and acceptance of the equipment, the County shall <br /> submit to the Council a document verifying the identification <br /> number, location, model number, serial number (if applicable) and <br /> condition of all equipment purchased under this agreement. <br /> 11. The County agrees to ensure that all persons who use any medical <br /> equipment purchased under this contract shall receive any special <br /> training required for proper operation or utilization of said <br /> equipment. <br /> 12. The County agrees that it will not dispose of, or transfer title <br /> to, and equipment obtained under this agreement without the prior <br /> written approval of the Council. <br /> 13. The County agrees to provide continuing service and maintain <br /> all equipment procured under this agreeme~ in satisfactory <br /> working order for a minimum period of five (5) years from the <br /> initial equipment acceptance. <br /> 14. The County agrees to maintain accurate and complete records per- <br /> taining to the procurement, maintenance, and licensure (if <br /> applicable) of all equipment purchased under this agreement, and <br /> to make these records available upon request for review by <br /> representatives of the Council or of the N. C. Department of <br /> Human Resources during normal business hours. <br /> <br /> <br />
