The University of North Carolina at Charlotte Urban Institute Project Agreement This agreement, made and entered into this 3rd day of April, 1989, between the Urban Institute at The University of North Carolina at Charlotte (hereinafter "UNCC"), and The County of Cabarrus, hereinafter known as "Sponsor", witnesseth that: WHEREAS, each party desires to enter into this Agreement for the benefits reasonably expected to be gained therefrom; The parties hereto mutually agree as follows: Scope of Work UNCC is hereby engaged by Sponsor to facilitate services for the Transportation Task Force of the Carolina Counties Coalition. As facilitators, UNCC personnel will have the responsibility of Task Force meeting logistics and facilitation of the discussions. Ail decisions about critical issues will be made exclusively by the Task Force. Primary objectives to be accomplished by the Task Force are the following: o Mission of Transportation Task Force or related organization entity. o Goals of Task Force or related organizational entity. o Organizational options. o Funding options. Urban Institute personnel will prepare draft documents as requested by the Task Force, will prepare the Final Report based on the Task Forcers recommendations, and will also gather information about other regional transportation entities, if requested. o Work Schedule It is understood and agreed that UNCC will conduct its work February 15, 1989 through July 31, 1989. o Financial Sponsor agrees to pay to UNCC the sum of $1,000 payable upon approval of contract. Entire Agreement This agreement constitutes the entire understanding between the parties. No other terms and conditions, be they consistent, inconsistent, or additional to those contained herein, shall be minding upon UNCC, unless and until such terms and conditions shall have been specifically accepted in writing by UNCC. IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed by these duly authorized officers this day and year first above written.
