December 21, 2009 (Regular Meeting) <br />Page 1737 <br />All County contracts must be reviewed or prepared by the County <br />Attorney. This requirement may only be waived in writing by the <br />County Attorney, County Manager or Deputy County Manager.. <br />III. MANDATORY CONTRACT TERMS <br />A. Pre-Audit Certificate <br />Whether or not a contract requires expenditure of County funds, <br />it must contain a pre-audit certification signed by the County <br />Finance Director or Assistance Finance Director. This statement <br />shall read: "This instrument has been pre-audited in the manner <br />required by the Local Government Budget and Fiscal Control Act." <br />B. Non-appropriation Clause <br />Non-appropriation clauses must be included in any County contract <br />requiring expenditure of County funds and entered into for terms <br />longer than the then current fiscal year. <br />C. Insurance <br />Unless waived in writing by the County Manager, Deputy County <br />Manager, Finance Director, or Risk Manager in consultation with <br />the County Attorney, all County contracts must include insurance <br />provisions and certificates with minimum limits as referenced in <br />the "Cabarrus County Minimum Insurance Coverage Requirements" <br />found on the WaterCooler (intranet) at <br />http://guide/sites/watercooler/safety/Sharedo20Documents/Forms/Al <br />lItems.aspx <br />The County shall be named as an additional insured and it is <br />required that coverage be placed with an "A" rated insurance <br />company acceptable to the County. The contract should provide <br />that the County must be added as an additional insured as <br />evidenced by an endorsement attached to the insurance <br />certificate. The contract must also provide that failure to <br />include the requirement insurance certificates may be cause for <br />contract rejection or termination. <br />Any insurance-related issues or exceptions must be presented <br />and/or approved by the Risk Manager. <br />D. Reimbursable Expenses <br />Normal Reimbursable Expenses such as reproductions, travel, long <br />distance telephone and fax transmission may be considered in <br />addition to the contract expense. The agreement must include a <br />"not to exceed" amount; and, will become part of the total <br />contract cost. <br />E. Professional Services <br />The following clause must appear in all Professional Services <br />agreements and contracts - including Architects, Engineers or <br />Surveyors: <br />"Except with the Owner's knowledge and consent, the <br />Architect, Engineer or Surveyor shall not engage in <br />any activity or accept any employment, interest or <br />contribution that would reasonably appear to <br />compromise the Architect, Engineer or Surveyor's <br />professional judgment with respect to this Project. <br />The Architect, Engineer or Surveyor shall disclose any <br />business or personal relationship with any member of <br />the Board of County Commissioners or their employees <br />or agents." <br />F. Signature Authority <br />All contracts must be signed by the correct party as indicated <br />below, unless otherwise specifically authorized in writing by the <br />Board of Commissioners (BOC) or County Manager. The Board of <br />Commissioners and the County Manager may periodically assign <br />contract signing authority. The Contract Administrator and County <br />Attorney will be notified in writing of any such assignment of <br />authority. <br />
