In conjunction with this agreement, two checking <br />accounts are required for operations of the Arena. The checking accounts <br />will have joint authorization of both SMG employees and the County Finance <br />Director. The company chose Wachovia because its payroll account is held <br />there. <br /> <br />UPON MOTION of Commissioner Privette, seconded by Vice Chairman Carruth <br />and unanimously carried, the Board adopted the following Corporate <br />Resolutions for Wachovia (as required by N.C. General Statute 159-31) to <br />provide banking services for Cabar~us Arena and Events Center: <br /> <br />Wachovia <br /> <br />Resolution No. 2005-19 (a) <br />Certified Resolution for Depository Authorization <br />Non-Profit Organizations <br /> <br />I, the undersigned, hereby certify to Wachovia Bank, N .A. I that I am the <br />Clerk to the Board of Commissioners, of Cabarrus Arena & Events Center, a <br />governmental organization duly organized and existing under the laws of the <br />State of North Carolina; that the following is a true copy of Resolutions <br />duly adopted by the Cabarrus Board of Commissioners of said governmental <br />organization at its meeting duly held on July 14, 2005, at which a quorum was <br />present and acted throughout; and that such Resolutions are in full force and <br />effect; have not been amended or rescinded, and that there is no provision in <br />the Charter or By-Laws of said organization limiting power of the Cabarrus <br />Board of Commissioners of said governmental organization to pass the <br />following Resolutions, which are in full conformity with the provisions of <br />said Charter and By-Laws: <br /> <br />1. RESOLVED, the Wachovia Bank, N .A. (hereinafter the "BANK") is herewith <br />designated as an authorized depository of this organization and that <br />one or more checking, savings, and/or deposit accounts be opened and <br />maintained with said Banki that 0, (only if checked here) any two - <br />otherwise, each: of the present holders of the following offices <br />and/or positions of this organization and his (their) successors in <br />office or position, to wit: <br />
