60 <br /> <br /> There was no one present who wished to speak regarding this matter, and <br />Chairman Casper closed the public hearing. <br /> <br /> UPON MOTION of Commissioner Mills, seconded by Commissioner Carpenter <br />and unanimously carried, the Board approved the following Amendment to the <br />Agreement. <br /> <br />State of North Carolina <br /> <br />County of Cabarrus County NC <br /> <br />Amendment to Agreement <br /> <br /> This amendment to agreement is made this __ day of September, 1998 by <br />and among Cabarrus County ("County"), The City of Concord ("City"), <br />AmeriServe Food Distribution, Inc. ("AmeriServe"), and Holberg Industries, <br />Inc. ("Holberg"); and <br /> Whereas, County, City and AmeriServe entered into an agreement in <br />August, 1998 ("Agreement") in which the County and City agreed to certain tax <br />incentive grants pursuant to an Industrial Development Incentive Program; and <br /> Whereas, Holberg is the ultimate parent corporation of AmeriServe; and <br /> Whereas, though the benefits under the Agreement are assignable, the <br /> parties deem it advisable to add Holberg to the Agreement in that some of the <br /> property, either real or personal, may be owned and taxed in the name of <br /> AmeriServe while other property, either real or personal, may be owned and <br /> taxed in the name of Holberg or some other entity; <br /> Therefore, for $10.00 and other valuable consideration and in <br />consideration of the mutual promises herein, the parties amend said Agreement <br />such that the terms and conditions of the Agreement shall inure to the <br />benefit of and be binding upon Holberg as well as any other entity which now <br />or in the future may own real or personal property subject to said Agreement. <br />Holberg joins in this Amendment to Agreement for the purpose of being bound <br />thereby as fully as if Holberg had been an original party to the agreement. <br />Except as amended herein, said Agreement remains in full force and effect. <br /> <br />Attest: <br />/s/ Frankie F.
