<br /> UPON MOTION of Commissioner Fennel, seconded by Chairman Barnhart and
<br />unanimously carried, the Board adopted the following Resolution with the
<br />appointment of the five members (Mr. Charles Phillips; Mr. Frank W. Clifton,
<br />Jr.; Dr. Charles Craig Corey; Robert W. Surratt, M.D.; and Mr. Thomas R. Revels)
<br />previously named by the Board and the two new appointees (Mr. Tony Scott and Ms.
<br />Naara Sanchez) for a term of one year effective October 21, 1996.

<br />RESOLUTION RELATING TO
<br />THE ESTABLISHMENT OF A PUBLIC
<br />HEALTH AUTHORITY FOR
<br />CABARRUS COUNTY
<br />
<br /> WHEREAS, for many years, the general population of Cabarrus County (the
<br />"County") has been well served by various health care facilities and institutions
<br />located in and about the County, including, but not limited to, the public
<br />facilities and services provided by and through the personnel of the Cabarrus
<br />County Health Department (the "Health Department") and administered by the
<br />Cabarrus County Board of Health (the "Board of Health"); and
<br /> WHEREAS, the delivery of health care in the United States is undergoing
<br />rapid change in its nature, scope, payment mechanisms and overall organization;
<br />and
<br /> WHEREAS, rapid change in the delivery of County public health services
<br />requires the creation, expansion and development of dynamic institutions capable
<br />of reacting quickly to change with proactive integration and coordination; and
<br /> WHEREAS, expansion of the scope and activities of the Board of Health and
<br />reorganization of public health activities of the County under a
<br />semi-independent, expanded institution is in the best interest of the public
<br />health and welfare of the citizens and residents of the area; and
<br /> WHEREAS, N.G.G.S. 131E-15, et. sec., the "Hospital Authorities Act"
<br />provides a mechanism for the creation of a dynamic public health organization,
<br />in this instance more appropriately denominated as a Public Health Authority.
<br /> BE IT, THEREFORE, RESOLVED, by the Board of Commissioners of Cabarrus
<br />County that:
<br /> 1. Under the provisions of N.C.G.S. 131E-15, et. sec., it is in the best
<br />interest of the public health and welfare of Cabarrus County to create a hospital
<br />authority to be identified "Public Health Authority of Cabarrus County".
<br /> 2. At a minimum, the activities of the Public Health Authority of Cabarrus
<br />County shall include those functions of the Board of Health of the County
<br />assigned now or later by or through the General Statutes of North Carolina and/or
<br />the Board of Commissioners of the County. The Public Health Authority of Cabarrus
<br />County is granted the following powers by the Board of Commissioners:
<br /> (1) To investigate public health, medical, and health conditions and the
<br /> means of improving those conditions;
<br /> (2) To determine where inadequate public health and medical facilities
<br /> exist;
<br /> (3) To accept donations or money, personal property, or real estate for
<br /> the benefit of the authority and to take title to the same from any
<br /> person, firm, corporation or society;
<br /> (4) To acquire by purchase, gift, devise, lease, condemnation or otherwise
<br /> any existing public health facilities;
<br /> (5) To purchase, lease, obtain options upon, or otherwise acquire any real
<br /> or personal property or any interest therein from any person, firm,
<br /> corporation, city, county, or government:
<br /> (6) To sell, exchange, transfer, assign, or pledge any real or personal
<br /> property or any interest therein to any person, firm, corporation,
<br /> city, county or government;
<br /> (7) To own, hold, clear and improve property;
<br /> (8) To borrow money upon its bonds, notes, debenture, or evidences of
<br /> indebtedness, as provided for in G.S. 131E-16 and G.S. 131E-27;
<br /> (9) To purchase real or personal property pursuant to G.S. 131E-32;
<br /> (10) To appoint an administrator of a public health facility and necessary
<br /> assistants, and any and all other employees necessary or advisable,
<br /> to fix their compensation, to adopt necessary rules governing their
<br /> employment, and to remove employees;
<br /> (11) To delegate to its agents or employees any powers or duties as it may
<br /> deem appropriate;
<br /> (12) To employ its own counsel and legal staff;
<br /> (13) To adopt, amend and repeal bylaws for the conduct of its business;
