387 relocation of Plantation's existing right of way and pipelines within the Reservoir area (the "Reservoir Agreement"), a copy of which is attached hereto marked Exhibit B and incorporated herein by reference; and WHEREAS, on or about October 14, 1994, David E. Wilson of Plantation prepared and submitted to the County a detailed estimate of the cost of the Relocation Plan totalling $2,238,680, a copy of which is attached hereto marked Exhibit C and incorporated herein by reference (the "Relocation Plan Cost Estimate"); and WHEREAS, in consideration of the payment by the County of all reasonable and legitimate cost of the Relocation Plan as hereinafter set forth and in consideration of the County's execution of the Reservoir Agreement, Plantation has agreed to make those adjustments to its facilities, easements and rights of way set forth in the Relocation Plan to accommodate the Reservoir Project at the approximate cost set forth in the Relocation Plan Cost Estimate; and NOW, THEREFORE, in consideration of the premises, the covenants and agreements contained herein and in the Reservoir Agreement and hereinafter expressed, Plantation the County agree as follows: 1. Plantation shall contract with a reputable pipeline contractor to relocate its facilities upon that real property owned by the County for the Reservoir Project consistent with the manner, extent, and approximate cost set forth in the Relocation Plan and the Relocation Plan Cost Estimate, including but not limited to: (a) Installing approximately 1960 linear feet of 26-inch pipe; (b) Installing approximately 1990 linear feet of 14-inch pipe; (c) Installing approximately 130 linear feet each of 2 1/2-inch concrete coating on the new 26-inch and 14-inch pipes under Mooresville Road; (d) Installing approximately 445 linear feet each of 2 1/2-inch concrete coating on the new 26-inch and 14-inch pipes under the proposed Coddle Creek Reservoir; (e) Removing approximately 1605 feet of existing 26-inch pipe; (f) Removing approximately 1590 feet of existing 14-inch pipe; (g) Removing 1625 feet of existing 10-inch pipe; (h) Capping and grouting 215 feet each of the existing 26- inch, 14-inch and 10-inch pipelines under Mooresville Road; and (i) Installing two valves each and valve sites for the new 26-inch and 14-tnch pipelines. 2. During the period of relocation of Plantation's facilities by its designated contractor, at the County's sole expense, the County may designate a representative to observe the relocation of the facilities at all times and who shall coordinate the relocation with the County. 3. The County shall reimburse Plantation for the actual cost of performing that work identified in the Relocation Plan and the Relocation Plan Cost Estimate as outlined in Paragraph 1 hereinabove, PROVIDED THAT: (a) At no cost to Plantation, the County shall furnish additional rights of way, if any, necessary to complete readjustment of the pipeline facilities as shown on Plantation Drawings Nos. D-AT630-3 dated 10/26/91, revised 9/29/94 and D-AT630-0 dated 10/9/94; and (b) The County's reimbursement to Plantation shall be limited to and shall not exceed those costs allowable or allowed pursuant to the Federal-Aid Highway Program manual, Transmittal 389, dated September 6, 1985, pages 12-18 (or its successor or latest edition), attached hereto as Exhibit D and incorporated herein by reference; and (c) In awarding the contract for the Relocation Plan and in performing the contract, the County's reimbursement responsibility shall be consistent with Government Auditing Standards issued by the Comptroller General of
