387 <br /> <br />relocation of Plantation's existing right of way and pipelines <br />within the Reservoir area (the "Reservoir Agreement"), a copy of <br />which is attached hereto marked Exhibit B and incorporated herein by <br />reference; and <br /> WHEREAS, on or about October 14, 1994, David E. Wilson of <br />Plantation prepared and submitted to the County a detailed estimate <br />of the cost of the Relocation Plan totalling $2,238,680, a copy of <br />which is attached hereto marked Exhibit C and incorporated herein by <br />reference (the "Relocation Plan Cost Estimate"); and <br /> WHEREAS, in consideration of the payment by the County of all <br />reasonable and legitimate cost of the Relocation Plan as hereinafter <br />set forth and in consideration of the County's execution of the <br />Reservoir Agreement, Plantation has agreed to make those adjustments <br />to its facilities, easements and rights of way set forth in the <br />Relocation Plan to accommodate the Reservoir Project at the <br />approximate cost set forth in the Relocation Plan Cost Estimate; and <br /> NOW, THEREFORE, in consideration of the premises, the <br />covenants and agreements contained herein and in the Reservoir <br />Agreement and hereinafter expressed, Plantation the County agree as <br />follows: <br /> 1. Plantation shall contract with a reputable pipeline <br />contractor to relocate its facilities upon that real property owned <br />by the County for the Reservoir Project consistent with the manner, <br />extent, and approximate cost set forth in the Relocation Plan and <br />the Relocation Plan Cost Estimate, including but not limited to: <br /> (a) Installing approximately 1960 linear feet of 26-inch <br /> pipe; <br /> (b) Installing approximately 1990 linear feet of 14-inch <br /> pipe; <br /> (c) Installing approximately 130 linear feet each of 2 <br /> 1/2-inch concrete coating on the new 26-inch and 14-inch pipes <br /> under Mooresville Road; <br /> (d) Installing approximately 445 linear feet each of 2 <br /> 1/2-inch concrete coating on the new 26-inch and 14-inch pipes <br /> under the proposed Coddle Creek Reservoir; <br /> (e) Removing approximately 1605 feet of existing 26-inch <br /> pipe; <br /> (f) Removing approximately 1590 feet of existing 14-inch <br /> pipe; <br /> (g) Removing 1625 feet of existing 10-inch pipe; <br /> (h) Capping and grouting 215 feet each of the existing 26- <br /> inch, 14-inch and 10-inch pipelines under Mooresville Road; <br /> and <br /> (i) Installing two valves each and valve sites for the <br /> new 26-inch and 14-tnch pipelines. <br /> 2. During the period of relocation of Plantation's <br />facilities by its designated contractor, at the County's sole <br />expense, the County may designate a representative to observe the <br />relocation of the facilities at all times and who shall coordinate <br />the relocation with the County. <br /> 3. The County shall reimburse Plantation for the actual cost <br />of performing that work identified in the Relocation Plan and the <br />Relocation Plan Cost Estimate as outlined in Paragraph 1 <br />hereinabove, PROVIDED THAT: <br /> (a) At no cost to Plantation, the County shall furnish <br /> additional rights of way, if any, necessary to complete <br /> readjustment of the pipeline facilities as shown on <br /> Plantation Drawings Nos. D-AT630-3 dated 10/26/91, <br /> revised 9/29/94 and D-AT630-0 dated 10/9/94; and <br /> (b) The County's reimbursement to Plantation shall be <br /> limited to and shall not exceed those costs allowable or <br /> allowed pursuant to the Federal-Aid Highway Program <br /> manual, Transmittal 389, dated September 6, 1985, pages <br /> 12-18 (or its successor or latest edition), attached <br /> hereto as Exhibit D and incorporated herein by <br /> reference; and <br /> (c) In awarding the contract for the Relocation Plan and in <br /> performing the contract, the County's reimbursement <br /> responsibility shall be consistent with Government <br /> Auditing Standards issued by the Comptroller General of <br /> <br /> <br />
