216 <br /> <br />costs incurred by Meals on Wheels in its provision of these <br />services; and <br /> WHEREAS, The County has appropriated the sum of $25,650 for <br />this purpose for the period July 1, 1991 through June 30, 1992. <br /> NOW, THEREFORE, in consideration of the premises, the County <br />and Meals on Wheels do mutually agree to the following terms and <br />conditions: <br /> 1. This contract shall begin July 1, 1991 and shall exist <br /> and continue through June 30, 1992. <br /> 2. Meals on Wheels shall provide its services to <br /> individuals who qualify for these services in relation <br /> to Meals on Wheels established policies in a manner <br /> specified by these policies. These policies are <br /> understood to provide for compliance with Titles VI and <br /> VII of the Civil Rights Act of 1964 and Section 504 of <br /> the Rehabilitation Act of 1973, as appropriate, in <br /> addition to any other local ordinances, state laws, and <br /> federal regulations which may be applicable to Meals on <br /> Wheels and its services. <br /> 3. The County shall allocate and pay to Meals on Wheels <br /> twelve (12) monthly payments of $2,137.50 each for a <br /> total of $25,650.00 with each payment to be made on or <br /> about the last day of each month commencing in July, <br /> 1991. <br /> 4. Meals on Wheels will undergo an audit of its operations <br /> conducted by a Certified Public Accountant and will <br /> submit a copy of the report of this audit to the <br /> Department of Social Services within ninety 90 days of <br /> the conclusion of Meals on Wheels' established fiscal <br /> year. <br /> 5. Meals on Wheels agrees to hold the County and the <br /> Department of Social Services harmless for any and all <br /> liability, damages, or claims, including attorney's <br /> fees, that might be asserted or suffered by the County <br /> or the Department of Social Services as a result of any <br /> act or omission of any of Meals on Wheels' officers, <br /> employees, agents or representatives arising out of this <br /> contract. <br /> 6.
