292 Section 8. Ail representations and warranties of the Town and the County contained herein shall survive the making of any payment pursuant to this Agreement. Section 9. This Agreement represents the entire understanding of the Town and the County with respect to the matters contained herein, and supersedes all prior agreements and understandings between the Town and the County inconsistent herewith, including, but not limited to, the 1984 Agreement, the 1987 Agreement, and the 1988 Agreement. Section 10. This Agreement may be amended or terminated only by a vote of the majority of the members of both of the respective governing boards of the Town and the County. Section 11. This Agreement shall be perpetual and binding upon and shall inure to the benefit of the County and the Town, and their respective successors and assigns.
