588 <br /> <br />to RUFFIN under Paragraph 7 shall be continued for a six (6) month period. <br /> If, before the expiration of the original term of this Agreement or any <br />extension thereof, RUFFIN unilaterally terminates this Agreement, CABARRUS shall <br />pay to RUFFIN one-sixth (1/6) RUFFIN's annual base salary which shall have been <br />established in accordance with Paragraphs 3 and 9 hereinbefore. Such salary <br />payment shall be made in a single lump sum, and those fringe benefits available <br />to RUFFIN under Paragraph 7 shall be continued for a two (2) month period. <br /> NOTWITHSTANDING THE FOREGOING, in the event RUFFIN is terminated because <br />of his conviction of any illegal act involving personal gain to him, CABARRUS <br />shall have no obligation to pay the severance payments set forth in this <br />paragraph. <br /> 12. BONDING: CABARRUS shall bear the full cost of any fidelity or other <br />bond required of RUFFIN as Manager under any law or ordinance. <br /> 13. NOTICES: Any notice required or desired to be given under this <br />Agreement shall be deemed given if in writing sent by Certified Mail to his <br />residence in the case of RUFFIN, or to its principal office in the case of <br />CABARRUS. <br /> 14. ENTIRE AGREEMENT. This Agreement contains the entire understanding and <br />agreement of the parties and shall be binding upon and shall inure to the <br />benefit of the heirs at law and personal representatives of RUFFIN. It may be <br />changed only by an agreement in writing signed by the parties. <br /> 15. ASSIGNMENT: This Agreement shall not be assigned by either party. <br /> IN WITNESS WHEREOF, CABARRUS has caused this Agreement to be signed and <br />executed on its behalf by the Chairman of its Board of Commissioners and duly <br />attested by its Clerk, and RUFFIN has signed and executed this Agreement, this <br />19th day of November, 1990. <br /> <br />ATTEST: <br />/s/ Frankie F.
