2011A Deed of Trust and the Beneficiary are hereby requested to take any and all actions to <br />effectuate the addition, substitution and release described herein from the lien of the 2011A Deed <br />of Trust. <br />Section 4. The Chairman of the Board of Commissioners, the County Manager, the <br />Director of Finance and the County Attorney are hereby authorized to take any and all action, <br />including, without limitation, approval of modifications to the terms of the existing 2011A Deed <br />of Trust, and to execute and deliver for and on behalf of the County such other documents and <br />certificates relating to the addition, substitution and release described herein from the lien of the <br />2011A Deed of Trust as they may deem necessary or advisable to carry out the intent of this <br />resolution and to effect the addition, substitution and release described herein from the lien of the <br />2011A Deed of Trust. Execution of such documents and certificates by the Chairman of the <br />Board of Commissioners or the County Manager shall conclusively evidence their approval of all <br />such documents and certificates. The County Clerk is hereby authorized to affix the seal of the <br />County to such documents and certificates as may be appropriate and to attest to the same and to <br />execute and deliver the same as may be needed. <br />Section 5. As required by the 2011A Deed of Trust, the Director of Finance shall provide <br />notice of the addition, substitution and release of the collateral subject to the lien of the 2011A <br />Deed of Trust to the Rating Agencies after the consummation thereof. In addition, the Director <br />of Finance shall timely file a material event notice with EMMA describing the addition, <br />substitution and release of the collateral subject to the lien of the 2011A Deed of Trust after the <br />consummation thereof. <br />Section 6. This Resolution shall become effective immediately upon its adoption. <br />Thereupon, upon motion of Commissioner seconded by <br />Commissioner , the foregoing resolution entitled "RESOLUTION <br />APPROVING SUBSTITOTION/MODIFICATION OF THE COLLATERAL SECURING THE <br />CA13ARRUS COUNTY DEVELOPMENT CORPORATION TAXABLE LIMITED <br />OBLIGATION QUALFIED SCHOOL CONSTRUCTION BONDS (COUNTY OF <br />CABARRUS, NORTH CAROLINA INSTALLMENT FINANCING CONTRACT), SERIES <br />2011 A; AUTHORIZING THE EXECUTION AND DELIVERY OF RELATED DOCUMENTS <br />4 Attachment number 1 \n <br />F-11 Page 135 <br />
