Objectives. The advisory group will be comprised of members from each of CHS and EMS, with <br />participation as appropriate from the technology vendor, and will communicate at agreed upon <br />intervals to assess the Program. <br />3. Fundin . As consideration for the services and technology to be provided or <br />arranged for by EMS under this Agreement, CHS will provide to EMS funds in the amount of <br />ONE HUNDRED AND TWENTY THOUSAND DOLLARS ($120,000.00) during the two year <br />Term of this Agreement. EMS will use all funding under this Section 3 to provide technology and <br />support as further described in Exhibit A, attached hereto and incorporated herein by reference. <br />4. Renortine Requirements. EMS will work collaboratively with CHS to prepare <br />any reports, presentations or other materials that the Advisory Committee deems necessary to <br />accomplish the Program Objectives, <br />5. Publicity, Use of Name/Logo. The parties shall not issue a press release or any <br />other announcement of the relationship contemplated by this Agreement without each other's <br />prior written consent. The parties reserve the right to control and use of their names and all <br />copyrights, symbols, trademarks, or service marks presently existing or later established. Neither <br />parry shall use the other parry's copyrights, symbols, trademarks, nor service marks in advertising <br />or promotional materials or otherwise without the approval of the other party. The use of the <br />name, copyrights, symbols trademarks or service marks of such other party shall cease <br />immediately upon the earlier of written notice of such other party or termination of the <br />Agreement. The parties shall consult with each other and jointly agree in writing on publication <br />rights related to the Program. <br />6. Records Access. Until the expiration of four years following the furnishing of <br />services under this Agreement, EMS shall make available, upon written request, to the Secretary <br />of the Department of Health and Human Services or, upon request, to the Comptroller General of <br />the United States, or any other duly authorized representatives, the contracts, books, documents <br />and records that are necessary to certify the nature and extent of costs under this Agreement. If <br />EMS carries out any duties of this Agreement through a subcontract with a value or cost of $10,000 <br />or more over a 12 -month period with a related organization, such subcontract shall contain a clause <br />to the effect that until the expiration of four years after the furnishing of services pursuant to such <br />subcontract, the related organization shall make available, upon written request, to the Secretary <br />of the Department of Health and Human Services or, upon request, to the Comptroller General of <br />the United States, or any of their duly authorized representatives, the subcontract, books, <br />documents, records or other data necessary to verify the nature and extent of the costs incurred for <br />such services. <br />7. Confidentiality of Information. Except as required by law or as necessary to <br />perform its obligations under this Agreement, no Party shall disclose or use any Confidential <br />Information (as defined below) belonging to any other Party without the prior written consent of <br />such other Party. "Confidential Information' means, with respect to a Party, (a) the terms of this <br />Agreement; (b) any information that individually or as compiled constitutes confidential, <br />proprietary or trade secret information developed by or on behalf of that Party; (c) any confidential <br />or proprietary information disclosed by or on behalf of that Parry to any other Parry in written, <br />Aftchmenl number 2 \n <br />F-4 Page 65 <br />
