ll. Insurance/Indemnification. Each Party shall obtain and maintain in force throughout the duration of this Agreement general and professional liability malpractice insurance coverage for at least $1,000,000 for any one occurrence and $3,000,000 in the aggregate annually. CHS shall have the right to self -insure in accordance with the foregoing limits. Such insurance shall be provided by an insurance company licensed to do business in North Carolina or any other company approved in advance by CHS. Each of CHS and EMS shall provide the other Party with 30 days' prior written notice of any cancellation of or a siagnificam change in such insurance coverage. Each Party (for purposes of this sentence, "Indemnitor") shall indemnify and hold harmless each other Party, and their respective officers, employees, agents and representatives (for purposes of this sentence, collectively, "Indemnitee") from and against any and all losses, damages, liabilities, costs and expenses of any kind or nature whatsoever (including reasonable attorneys' fees, costs and expenses) incurred by Indemnitee as a result of (a) the breach by Indemnitor or any employee, agent or contractor of Indemnitor of the terms of this Agreement including any breaches of confidentiality, or (b) the intentional or negligent acts or omissions of Indemnitor or any employee, agent or contractor of Indemnitor. This Section and the rights and obligations of the Parties under this Section will survive the termination or expiration of this Agreement and will continue until the later of (i) three years after termination or expiration of this Agreement and (ii) the expiration of any applicable statute of limitations. 12. Notices. Notices under this Agreement will be given to the other Party in writing to the applicable address set forth below and shall be deemed effectively given to the other Party on the earliest of the date (a) three business days after such notice is sent by registered U.S. mail, return receipt requested, (b) one business day after delivery of such notice into the custody and control of an overnight courier service for next day delivery, (c) one business day after delivery of such notice in person and (d) such notice is received by the applicable Party.
