SETTLEMENT, RELEASE AND PURCHASE AGREEMENT <br />THIS SETTLEMENT, RELEASE AND PURCHASE AGREEMENT (the "Agreement") <br />dated March _, 2018 is by and among the HEIRS OF JOHN BUNYAN GREEN, II, LLC (the <br />"Heirs'), WATER AND SEWER AUTHORITY OF CABARRUS COUNTY ("WSACC'), <br />CA13ARRUS COUNTY, a North Carolina body politic and corporate (the "County"), <br />CA13ARRUS COUNTY PLANNING AND ZONING COMMISSION, in its capacity as the <br />CABARRUS COUNTY BOARD OF ADJUSTMENT (the `Board of Adjustment'), and THE <br />LANDTRUST FOR CENTRAL NORTH CAROLINA, a North Carolina nonprofit corporation <br />(the "LandTrust"). <br />1. The Heirs is the fee simple owner of approximately 317 acres of real property <br />identified as PIN: 5553-35-999 (containing approximately 60 acres) and PIN: 5553-56-4456 <br />(containing approximately 257 acres) and located at 14785 Hopewell Church Road, in Midland, <br />Cabarrus County, North Carolina (the "Green Property"). <br />2. The Green Property is encumbered by a Deed of Agricultural Conservation <br />Easement dated April 25, 2000 by and between John Bunyan Green II and Katharin Hartsell <br />Green, as "Grantors", and the LandTrust, as "Grantee", and recorded of same date in Book 2850, <br />Page 163 of the Cabarrus County Public Registry (the "Conservation Easement'). <br />3. WSACC operates and maintains the Muddy Creek Wastewater Treatment Plant <br />(the "Plant") on approximately 17.94 acres of real property identified as PIN: 5553-44-0212 and <br />located at 14655 Hopewell Church Road in Midland, Cabarrus County, North Carolina (the <br />"WSACC Property"), which WSACC Property is owned by the County. <br />4.
