14. Authorization: The Heirs represents and warrants to WSACC, the County, and <br />the Board of Adjustment that (a) the Heirs is the fee simple owner of the Property, (b) the Heirs <br />is duly authorized and has full authority to enter into this Agreement and to execute and deliver <br />all documents to be executed and delivered hereunder, and (c) the person signing this Agreement <br />on behalf of the Heirs is duly authorized and has full authority to sign this Agreement and all <br />documents to be executed and delivered hereunder in the name of the Heirs. This Agreement <br />and all documents to be executed and delivered hereunder are and at the time of the Closing Date <br />shall be legal, valid and binding obligations of the Heirs, enforceable against the Heirs in <br />accordance with their respective terms. <br />15. Counterparts: This Agreement may be executed by the parties in counterparts, <br />each of which shall be deemed an original, but all of which together shall constitute one and the <br />same instrument. A facsimile or electronic (PDF) signature shall be deemed as an original for all <br />purposes. The parties agree that (a) this Agreement may be transmitted between them by <br />facsimile machine or electronic mail, (b) that this Agreement may be executed by facsimile or <br />electronic (PDF) signatures, and (c) that facsimile or electronic signatures shall have the effect of <br />an original signature relative to this Agreement. <br />16. Harvest Trees: The Heirs, and their successors and assigns to the fee simple title <br />of the Green Property, shall have the right to harvest trees on all sewer line easements held by <br />WSACC over and across the Green Property except for the easement over and across the <br />Proposed Buffer Area. The aerial photograph attached as Exhibit A shows the location of the <br />Plant, the Proposed Buffer Area and part of the existing 20' permanent sewer line easement. The <br />Heirs, and their successors and assigns, agree to indemnify and hold hamiless WSACC and the <br />County, and their authorized agents and employees, from any and all claims for damages to <br />W738 v.0 7 <br />F-3 Page 297 <br />
