within thirty days after the exercise of such option, SMG shall provide to the <br />Facility an additional sum of One Hundred and Seventy -Five Thollsand Dollars <br />($175,000) for Capital Improvements and Capital Equipment purchases relating to <br />the Facility (the "Third Capital Contribution") <br />8. Anew Section 5.13 shall be added to the Management Agreement and shall read as follows: <br />Cabarrus County Schools Scholarship. During the Renewal Term commencing <br />January 1, 2025 and expiring December 31, 2030, SMG shall make an annual <br />donation of Five Thousand Dollars ($5,000) to the Cabarrus County Schools <br />Academy of Hospitality and Tourism to fund two scholarships to be mutually <br />agreed upon by SMG and the County. <br />9. Ratification. This Amendment supplements and amends the Management Agreement, but <br />only to the extent expressly set forth herein. All other terms, provisions, representations, <br />warranties and covenants of the Management Agreement are hereby confirmed, ratified <br />and remain in full force and effect. <br />10. Counterparts/Signatures. This Amendment may be executed in one or more counterparts, <br />each of which shall be deemed to be an original, but all of which shall be considered one <br />and the same instrument. This Amendment, to the extent signed and delivered by means of <br />a facsimile machine or electronic mail, shall be treated in all manners and respects as an <br />original agreement and shall be considered to have the same binding legal effect as if it <br />were the original executed version thereof delivered in person. <br />[Signatures on Following Page] <br />Page 240 <br />
