294 <br /> <br /> WHEREAS, it is desirable and necessary to enter into this <br />contract in order to set forth in the agreement between the parties <br />as to services to be performed by the Agency. <br /> NOW, THEREFORE, the parties do mutually agree and contract as <br />follows: <br />1. The Agency agrees to perform technical or professional <br />services in the manner and for the purpose stated in <br />Exhibit A and associated appendices attached hereto and <br />incorporated by reference into this contract. <br /> 2. In consideration for the performance by the Agency the <br /> County agrees to pay the Agency an amount not to exceed <br /> $2,400. An invoice for all costs relating to the <br /> project will be presented at the conclusion of the work. <br /> Payment is due upon receipt of invoice. <br /> 3. If the Agency fails to perform its obligation under the <br /> contract, or if the Agency shall violate any of the <br /> provisions of this contract, The County shall have the <br /> right to terminate this contract by giving written <br /> notice to the Agency of such termination at least thirty <br /> (30) days before the effective date of such termination. <br /> In such event, all unexpended funds at the time of such <br /> termination shall be promptly repaid to the County. <br /> 4. The Agency shall not assign any interest in this <br /> contract and shall not transfer any interest in the <br /> contract without prior written approval of the County. <br /> 5.The contract shall terminate on January 15, 1992. <br /> 6. In connection with the performance of this contract, the <br /> Agency shall not discriminate against any employee, <br /> applicant for employment, or program participant because <br /> of race, religion, color, sex or national origin. <br /> 7. The contract may only be amended by written amendments <br /> mutually agreed upon by and between the County and the <br /> Agency. <br /> 8. Any information, data, instruments, documents, studies <br /> or reports given to, or prepared, or assembled by the <br /> Agency which include the agreement shall be kept as <br /> confidential and not divulged or made available to any <br /> individual or organization without the prior written <br /> approval of the County. <br />IN WITNESS WHEREOF, the parties hereto have caused this contract to <br />be executed in their names by their duly authorized officers, and <br />their seals to be hereto affixed, the day and year first above <br />written. <br /> CABARRUS COUNTY <br /> BY: /s/ Billy J, Simmons.
