352 <br /> <br />ProCedure's: <br />1. Members of the Cabarrus County Home Health Advisory Board, <br /> Cabarrus County Board of Commissioners (hereafter referred to <br /> as Board members) and management staff shall exercise loyalty <br /> and due care in all transactions relating tO Cabarrus County <br /> Home Health (hereinafter referred to as Agency). <br />2.' 'In their dealings with and on behalf of the Agency, Board <br /> members and management are held to a strict rule of honest and <br /> fair dealing between themselves and the Agency. Board members <br /> shall not use their positions, or knowledge gained therefrom, <br /> so that a conflict might arise between the Agency's interest <br /> and that of any individual. <br />3. All acts of Board members and management shall be for the <br /> benefit of the Agency'and the citizens of Cabarrus County in <br /> any dealing which may affect the Agency adversely. <br />4. No Board members or management staff shall accept any gift, <br /> favor, or hospitality which may influence his decision making <br /> or actions affecting the Agency or its staff. <br />5. Board members and management shall, to the extent practical, <br /> avoid any employment, activity, investment or other interest <br /> which might involve obligations which may compete with or be <br /> in conflict with the interest of the Agency and shall promptly <br /> disclose the same to the Director. <br />6. A full written disclosure by every Board member and management <br /> staff of all facts of any transaction which is subject to any <br /> doubt concerning the possible existence of a -conflict of <br /> interest by the Board member, shall be made to the Chairman of <br /> the Board of Commissioners or Advisory Board Chairman before <br /> consummating the same. <br />7. Each Board member and management staff shall disclose to the <br /> Board, any duality of interest or conflict of interest that <br /> the member may have in a matter that is presented for action <br /> to the Board. Such disclosure shall be made when the matter <br /> becomes a subject of Board action. A Board member with a <br /> duality of interest or possible conflict of interest on any <br /> matter should not vote or use personal influence on the matter <br /> and should not be counted in determining a quorum for the <br /> meeting. <br />8. The Boardmeeting minutes should record that a disclosure and <br /> abstention from voting occurred and the presence of a quorum.. <br /> A Board member who makes a disclosure and abstains may <br /> nevertheless state his/her position on the matter and answer <br /> questions of other Board members, since this knowledge may be <br /> of assistance to the Board. <br />9. The Director shall annually send to all current Board members <br /> a copy of this policy, together with a disclosure <br /> questionnaire (attached). The Director shall submit a <br /> confidential report to the Chairman of the Board of <br /> Commissioners and Advisory Board Chairman, summarizing the <br /> questionnaire results. <br /> 10. Newly appointed Board members and management staff shall be <br /> requested by the Director to complete a disclosure <br /> questionnaire immediately upon assumption of his/her <br /> responsibilities. <br /> 11. The following information should help Board members and <br /> management staff in identifying potential/actual conflicts of <br /> tntekest: <br /> a. Interests: <br /> Holding by a Board member or management staff, directly or <br /> indirectly, of a position or of material financial interest in <br /> any outside concern, from which the agency secures goods or <br /> services. <br /> b. Outside Activities: <br /> Rendition by an individual of directive, managerial, or <br /> consultative services to any outside concern which does <br /> business with the Agency. <br /> c. Gifts, Gratuities and Entertainment: <br /> Acceptance by an individual of gifts, excessive or unusual <br /> entertainment, or other favors from any outside concern which <br /> does, or is seeking to do, business with the Agency under <br /> <br /> <br />
